OPPORTUNITY We are seeking a Legal Counsel with corporate secretarial experience to be part of a dynamic team based in Bangalore. This is an independent contributor role reporting to the Head of Legal & Compliance at Maersk Global Service Centres (“Maersk GSC”). In this role, you will act as a dependable legal business partner in securing structured, efficient, and proactive legal support across various cross-functional internal stakeholders in India and other countries where Maersk GSC is operating. KEY RESPONSIBILITIES As a Legal Counsel you will have diverse set of responsibilities including but not limited to: Driving process rigour, execute and manage compliances under Companies Act, 2013, FEMA regulations and other applicable laws including filing statutory eforms, returns with MCA within stipulated timelines. End to end management of established corporate governance processes including convening meetings of the Board, Committee, Shareholders, preparing agenda materials, minutes, annual report and ensuring proper record keeping of statutory records and registers following the applicable law and secretarial standards. Coordinating with internal stakeholders and statutory auditor on all secretarial compliances. Providing effective legal support to the business and procurement teams in general commercial contract structuring, preparation, review, and negotiation. Ensuring that legal entities in-scope are compliant with applicable laws and regulations including regulatory filings, evaluating the impact of evolving legal and statutory landscape in all geographies of operation. Regulatory compliance tool management and review of compliances in a pragmatic and risk-based manner. Assistance in managing any potential disputes and litigation. Providing time-sensitive support on a wide array of legal inquiries concerning all aspects of operations. WE ARE LOOKING FOR Minimum 6-10 years of relevant experience; Exposure to IT/ITES sector is a plus but not mandatory. Law degree and member of the Institute of Company Secretaries of India Competence to review and identify common legal issues in contracts; Excellent research & analytical skills. Ability to function autonomously yet communicate laterally and upward with ease. High motivation, creative problem-solving, and laser-focused on details. Drive to deliver high-quality results effectively and efficiently; possess high level of integrity. Flexible to adapt to changing priorities, fast paced and fluid environments.
