Qualification required: LLB or CS cleared (LLB CS preferred)
Responsibilities:
Responsible for all the statutory compliances under Companies Act, 1956/2013 and Rules and Regulations Made thereunder.
Overall responsible for managing the Secretarial and Legal Department of the company
Drafting of Board Resolutions and other Resolutions for AGM/EOGM as & when required.
Drafting & Maintaining minutes books for Scantech Laser Private Limited and All group Co., collecting annual disclosures from all Directors.
Updating of statutory registers of group Co.s like the register of members, register of charges, register of directors, register of director’s interest, register of directors shareholding, etc.
Filing e-forms with the Registrar of Companies in accordance with the Companies Act.
Drafting & vetting of various agreements like leave & license agreements, vendors' agreements, NDA, Royalty agreements, etc as & when required & renewing them.
Registration of factory under Factories Act & rules, attending to the notices received from the department & defending them by filing appropriate replies. ISO Certification, NSIC Certification, and MIDC approvals as and when required.
Handling Banking Documents relating to Loan procedures.
Monitoring the documentation, compliances & form filings as required under the Registrar of Companies under Companies Act, 2013.
Reviewing the progress of outstanding civil and criminal litigations & liaise with & manage external lawyers. Check for defaults in existing dealings of the company & take appropriate legal action.
Fresh application & renewal of Patent, trademark & design, liaise with IPR consultants and attorneys for infringement of design or copy of product appearance.
Ensuring proper compliances under Limited Liability Partnership Act and Indian Partnership Act and making timely compliances thereunder.
