What are the responsibilities and job description for the Corporate Counsel - Contracts position at AECOM?

AECOM has an opportunity for a team-oriented attorney with corporate transactional experience to join us as a Corporate Counsel. As a key member of a collegial, fast-paced corporate legal team, you will primarily focus on negotiating, drafting and interpreting commercial contracts and other general corporate legal matters across a broad spectrum.

This position can be flexible for remote work within the US, not limited to the locations listed.

Primary responsibilities including:
Structuring, drafting, reviewing, analyzing, negotiating and interpreting commercial contracts supporting a variety of corporate functions, including master services agreements, software license agreements, SaaS agreements, statements of work, service level agreements, amendments and related documentation.

Assisting on a variety of corporate transactional matters, including corporate finance and treasury transactions, and acquisition and divestiture transactions.

Providing timely advice and counsel to senior management by advising on laws, regulations and company policies.

Working with stakeholders, including other corporate functions, law department colleagues and business operations staff for matters both within and outside of direct subject matter expertise or responsibility.

Establishing and maintaining best practices, guidance materials, controls and standard contract forms.

Assisting other members of the legal team and corporate management on a broad range of corporate legal matters as necessary.

Minimum Requirements

The successful candidate must possess a strong work ethic, flexibility and willingness to work on a broad range of legal matters and the leadership and collaboration qualities that will enable them to potentially grow into a broader role within a global legal department. Required background and attributes include:

Juris doctorate from an accredited law school (top-tier preferred) plus at least 5 years of corporate commercial and transactional law experience in firm and/or in-house environments

Strong analytical, interpersonal, drafting, negotiation and written/verbal communication skills.

Excellent judgment with the ability to balance competing priorities and meet tight deadlines.

Excellent organizational skills with high level of attention to detail and accuracy.

Proven ability to lead transactions and projects.

Demonstrated ability to proactively identify and resolve problems.

Practical team player with the ability to professionally collaborate in a results-oriented environment.

Effectively work in a highly confidential environment with the highest standards of ethics and professional integrity.

Member in good standing with State Bar of their residence

Preferred Qualifications

Experience within corporate environments of similar size and complexity as AECOM, including global organization experience

Due to the remote work flexibility of this position, relocation assistance is not available

_Offered rate of compensation will be based on individual education, qualifications, experience, and work location. The midpoint of the salary range is $147,758 annually._
