Alignment Healthcare is seeking a VP of Mergers & Acquisitions. The company has a robust acquisition platform, armed with a significant amount of resources and capital, providing the foundation for someone in this role to play a central leadership role in the continued growth of the business.
Reporting to the Chief Executive Officer, VP M&A will drive business development and the deal execution process, including financial modeling, valuation analysis due diligence.
This is a high visibility role, interfacing both internally with executive leadership and the Board, as well as externally, developing and cultivating physician and industry relationships. The ideal candidate will have strong business and industry acumen to drive strategic discussions and to adroitly navigate the deal process with sellers. Effective communication and close collaboration with other business stakeholders to quarterback through a deal process will also be key.
This role will be best suited for someone who has a strategic mindset along with M&A operational leadership and execution experience. Not only will big-picture strategy be important, attention to detail at every stage of the M&A process is essential. The VP of M&A will sit at the intersection of several departments and work cross-functionally with leadership in Operations, Finance, Marketing, and Clinical to implement a long-term M&A growth strategy to help position the company as a market leader in its space.

● As a key member of the Business Development Team, this role has high exposure and ability to influence the strategic direction of the organization. High visibility role that will work hand in hand with the CEO and Board.
● Lead execution and support the executive team in M&A activity from identification and due diligence to hand off to the integration benefits team.
● Partner with physicians, practice owners, and business leaders before, during and after the M&A processes, to ensure the deals make strategic sense, fit with forward-looking business plans, and are integrated smoothly and fully optimized.

KEY RESPONSIBILITIES

● Manage a growing team of corporate development professionals.
● Manage deal pipeline, from sourcing through execution of corporate development transactions.
● Develop forecast models for M&A pipeline deals with detailed metrics on revenue, EBITDA, ROI, and capital requirements.
● Conduct deal execution activities, including due diligence, financial modeling and valuation analyses, as well participating in the negotiation of deal terms and agreements.
● Supports due diligence efforts by conducting target acquisition analyses, prepare summary findings, and facilitate communications within the company and between the company and a prospective target.
● Quarterback deal processes coordinating with cross-functional stakeholders and external parties
● Develop and present deal materials, including company or transaction briefings, management materials, and Board materials.
● Build upon the existing systems and team to increase velocity and efficiency of deal analyses and support accelerating acquisitions in a rapidly scaling platform.
● Provide ongoing assessment of the industry landscape and put forth creative options for the acquisition strategy and deal structure to support winning deals in a highly competitive M&A environment. Working in-conjunction with the CEO to communicate effectively and consistently with the Board and other key stakeholders to provide transparency into the progress of the company against established goals.
● This role will develop credibility with local physicians/physician groups to grow the business and successfully execute acquisitions.
● Ownership over physician practice acquisition efforts from developing lead generation and evaluation of potential targets through securing and negotiating the signed contract/Asset Purchase Agreements ensuring overall project/transaction quality and value.
● Proactively identify, screen and evaluate a pipeline of acquisition potentials in existing markets while cultivating trusted relationships with target companies and strategic partners, both within our existing service areas and outside/other states or regions.
● Presenting potential acquisitions/JV prospects to executive team including business plan
● Responsibility to ensure all components of acquisitions are complete including letter of intent, negotiations working closely with corporate Legal and M&A teams, due diligence, purchase agreements, executing/closure of acquisition/partnerships and transition to operations.
● Engaging in critical business collaboration with key internal and external stakeholders including physicians to develop growth strategy plans and proformas on future business results for acquisition/JV opportunities
● Packaging data/details for presentation.
● Create and maintain intellectual capital, materials and presentations for acquisition development.
● Procure necessary resources, data or information from multiple departments within and across affiliate organizations to accomplish project success.
The successful candidate must be a strong, visionary leader and strategic business partner who can clearly articulate the growth mission of the company. Superior analytical skills, excellent presentation skills, with effective skills in negotiation and contracting, and acquisitions. The successful candidate should have the following experience and attributes:
Healthcare Experience:
• Experience in a multi-site healthcare services / physician practice management environment.
• Strong familiarity of physicians and medical groups based in California, as well as of non-CA groups.
PROFESSIONAL EXPERIENCE AND EDUCATION
• Depth of experience working with physicians, with a strong understanding of their needs.
• Sharp industry acumen, demonstrating and continuing to develop expertise and knowledge in the physician practice management / healthcare services space.
• Has worked with clinical partners to steer the organization through business development processes.
Mergers and Acquisitions:
• 8 years experience across corporate development / M&A leadership roles.
• Ability to manage the M&A lifecycle with minimal oversight. Proven experience structuring, negotiating, and executing M&A and investments.
• Led the acquisition process from target identification through deal execution. Has evaluated the financial infrastructure of targeted businesses to be acquired, leveraged strategic insights to determine the feasibility of integrating / onboarding an acquisition onto the platform.
• Proven ability to jump in with diligence, normalize P&L and EBITDA, resulting in successfully completing a valuation.
• Experience onboarding and integrating physicians and or physician practices.
Process and Data Orientation:
• Data-driven decision maker. Highly numerate with an ability to identify salient company-level values drivers and trends from operating and financial data.
• Strong aptitude for quantitative and qualitative analysis and ability to understand the business strategy, structure and link it to the transaction roadmap and deal drivers.
• Expertise in forecast models and corporate finance, with a focus on M&A.
• Process oriented, with exposure to best-in-class, highly acquisitive environments and the ability to translate M&A best practices to a newly created platform.
• Created reporting package which provided transparency into the business and that served as a periodic update to the C-suite, Board and Investors.
Executive Presence and Leadership:
• Start-up/entrepreneurial spirit; creative thinker, who is hands-on in defining objectives and producing deliverables in a fast-paced, nimble environment.
• Strong interpersonal skills, with a proven ability to work collaboratively with all levels of management and staff as well as physician/practice leadership both internally and externally.

• A confident and articulate communicator. Polished written/verbal presentation with excellent interpersonal and communication skills.
• Strong degree of emotional intelligence of dealing with physicians and in healthcare.
Education:
• Bachelor’s degree in finance, economics, or business. MBA degree highly desirable.
