Job Requirements:
The Contract Manager will report to the Associate General Counsel and serve as a critical member of the legal team. This role will be expected to drive the entire contract life cycle, from preparing templates to the execution and management of agreements. Responsibilities for this role include drafting and redlining agreements, negotiating contract terms, contract administration and managing communications with internal clients. The ideal candidate will have a JD with experience as a contract manager, preferably in-house at a global industrial, manufacturing business.
Duties and Responsibilities:
- Draft, review, analyze and negotiate a wide range of routine transactional arrangements, including large, multi-year commercial sales and service contracts with OEMs; purchase order terms and conditions; supply agreements; distribution and non-employee sales representative agreements; confidentiality agreements; and various other types of commercial contracts.
- Provide internal clients with advisory support on contractual issues on a variety of contract matters.
- Serve at the primary point of contact for internal clients regarding contractual matters.
- Manage and administer the enterprise contract management system.
- Assist with the development of processes and policies that streamline the internal contracting process.
- Assist with sensitive projects, as required.
- Support the Associate General Counsel with contracts training for internal clients and business partners.
- Support the company’s business strategies, by ensuring compliance with corporate policies.
Education, Experience, Skills and Abilities Required for Consideration as a Candidate:
- Bachelor’s degree with 3-5 years of work experience negotiating, reviewing and drafting commercial contracts in the industrial manufacturing sector.
- Experience in drafting and negotiating large, complex and international commercial agreements.
- Possess contracting knowledge sufficient to provide advice and counsel to the business teams and others, as required.
- Must be a business-oriented professional with the ability to balance business needs with legal risks, and contribute positively to an open exchange of ideas and an atmosphere of communication and team spirit.
- Excellent oral communication skills. Impeccable writing acumen – writing sample will be required.
- Demonstrated ability to plan, prioritize and organize multiple cross functional tasks.
- Detail oriented.
Additional Education, Experience, Skills and Abilities Preferred:
- Experience with corporate manufacturing business transactions is preferred, but not required.
