- Paralegal Certificate or a related degree preferred, demonstrating a solid foundation in corporate law.
- Minimum of 5 years of relevant experience as a Corporate Paralegal, with a strong track record of supporting high-level corporate transactions.
- Proven ability to meet or exceed a billable requirement of 1,600 hours per year, showcasing dedication and efficiency.
- Proficient in using the Microsoft Office Suite, including Outlook, Word, Excel, and PowerPoint, along with experience in Kofax and iManage.
- Experience working with various electronic datarooms, ensuring secure and organized document management for corporate transactions.
- Research state statutes, local codes, and Secretary of State requirements for entity formation, amendment, dissolution, and business license filings across all states, while maintaining large portfolios of national and international corporate entities.
- Draft, file, and manage corporate documents under attorney supervision with local, state, and federal agencies, including formation, amendment, dissolution documents, UCC filings, and other corporate governance documents.
- Assist with corporate transactions by preparing for closings, organizing signature pages, compiling closing sets, maintaining minute books, and managing title/survey reviews, closing documents, and critical date lists.
- Use virtual data rooms and cloud software to securely manage documents, ensure timely filings with service companies, and stay current on legal guidelines and procedures specific to the corporate practice area.
- Prioritize and manage multiple projects, provide timely updates, execute meticulous time recording for client billing, and offer alternative solutions to best serve internal and external clients.
