Job Description

What you will be doing:
- Provide legal review of material company contracts across all departments.
- Draft and negotiate contracts on behalf of the company.
- Direct legal strategy and effectively manage outside counsel for company litigation, including areas such as employment, antitrust, contract disputes, ADA compliance, joint venture disputes, and class actions. Negotiate settlements when appropriate.
- Manage the discovery process in large cases and investigations.
- Provide legal support on acquisitions and divestitures, including due diligence, document drafting, antitrust clearance (if applicable), and negotiation of terms.
- Offer legal counseling on employment and labor matters, including employment contracts, benefit plans, compensation issues, employee performance, separations, reductions in force, severance, and company employment policies.
- Assist with corporate secretary functions and maintain proper corporate governance procedures. Support proxies and stockholder meetings as required.
- Support compliance with SEC and NYSE public company reporting and disclosure requirements in collaboration with the Accounting and Finance departments.
- Assist with insider trading enforcement processes and Section 16 Officer policies, procedures, and SEC filings.
- Assist with the executive equity compensation incentive plan, including the preparation of grant documents and settlement of awards.
- Provide support and oversight of ancillary functions within the Legal Department, including alcohol licensing and regulatory compliance, risk management (including managing some slip/trip/fall cases), governmental affairs, fraud/loss, and corporate security.
- Bachelor's degree (BS/BA) and Juris Doctorate (JD).
- 4-10 years of private practice or in-house counsel experience.
- Admission to the state bar in good standing.
- Required and ongoing continuing legal education.
- General understanding of both corporate/business law and litigation law/dispute resolution.
- Strong communication and leadership skills to effectively interact with other lawyers, the Senior Leadership Team, and others.
- Good legal analytical problem-solving skills and good judgment.
- Conflict resolution skills.

Compensation Information
The compensation for this position is: $160,000 to $180,000 plus 30% annual bonus potential, plus eligible for participation in long-term incentive plan.
This position is based in Leawood, Kansas. Relocation assistance will be considered.
