Job Description The Legal Counsel provides legal support, counsel and services to the assigned Business Group. Aspects span commercial, compliance and litigation matters as well as support of corporate governance and portions of public company reporting. This role involves protecting the organization’s interests and rights through the provision of legal counsel and guidance to ensure business activities comply with relevant laws, regulations and ethical standards. As a Counsel, this role reports to the Business Group Legal leader and is anticipated to work in assigned areas independently with contributions to the Business Group and Global Legal function. WHAT YOU GET TO DO Partner with the Sr. Legal Counsel (EU) to help develop, manage and assess the corporate compliance program designed to prevent, detect and mitigate occurrences of non-compliance to include, but not limited to: Insider Trading, Whistleblower hotline, global compliance training programs, anti-corruption program and Corporate Code of Conduct. Assist the Global General Counsel and the Corporate Secretary with the review and drafting of various US public company filings and advising on up-coming SEC/NYSE rule changes and developments. Support the corporate functions and special projects and other job responsibilities as assigned by the Corporate General Counsel. Lead the management (including draft, review, revision, negotiation, completion, renewal, etc.) of a wide range of agreements and/or clauses, including commercial agreements, procurement and IT contracts, banking / treasury documents, confidentiality agreements, terms of engagement for advisers and consultants, etc. Advise on a number of corporate projects (including as Lead), including those relating to tax, pensions, legal restructurings, treasury matters, subsidiary management and other corporate matters. Work to continuously improve legal advice, systems, tools, templates, processes, policies or other systems related to the foregoing. Identify and analyze legal issues, drafting applicable key documents, presenting clear recommendations and ensuring compliance. Manage or assist in the management of outside counsel, ensuring overall quality support. May support portions of legal due diligence and negotiation for acquisitions and divestitures, including the acquisition and disposal of real property. Evaluate and provide advice on legal risk with associated business opportunities. Partner with Human Resources in applicable employment-related matters. Manage litigation, arbitration and other aligned matters of representation. Participate in legal briefings, acting as the organizational representative. Prepare for and participate in the resolution process of disputes (e.g. product liability, governmental investigation, commercial employment, tax, etc.). Support adherence to a legal budget for the practice group, including costs for internal salaries, training, travel and outside legal and professional expenses. Work closely with the Senior Legal Counsel (EU) May partner with the Office of Intellectual Property Counsel on applicable IP related matters. Identify and analyze legal issues, drafting applicable key documents, presenting clear recommendations and ensuring compliance. May support managing outside counsel and other outside vendors/partners for applicable matters. Stay abreast of relevant laws and regulations impacting the industry and ensure organizational alignment to applicable matters WHAT WE WANT FROM YOU Law degree (minimum LLB / Juris Doctorate) required with qualification to practice in the US. 5-7 years’ legal & compliance experience in first-class law firm and/or in-house legal environment. US-qualified lawyer with top-tier US law firm training or experience, Strong compliance experience Strong know how in commercial contracts (including procurement contracts), corporate law and general compliance required. Experience in partnering with and managing external counsel highly preferred. Proficiency in a manufacturing industry, and B2B environment preferred. Some experience with labor and employment matters is a plus. Experience with SEC/NYSE public company filings is a plus. Experience with M&A is a plus.
