Provide commercial legal advice and contract support to the Company’s domestic business units. Handle real estate leases and acquisitions and dispositions. Work on mergers and acquisitions and dispositions.
Duties and Responsibilities
- Build strong relationships with Company executives, become an essential part of the Global Procurement groups, and assist other internal clients as needed.
- Manage and act as a liaison between Global Procurement team and legal group, including, but not limited to, ensuring all contracts have an assigned attorney to provide necessary legal review, following up on outstanding matters, helping drive complex contract negotiations to execution and reviewing the work of the legal group as necessary.
- Participate in and/or lead strategic initiatives of Global Procurement and interact with executive management as necessary. Assist Global Procurement with implementing company-wide policies and procedures and implementing technology and other tools to support procurement activities.
- Review, draft and negotiate a broad range of complex and high value commercial contracts, including but not limited to supplier, construction, operations, customer, distributor, professional services, confidentiality, data privacy, and license agreements.
- Provide on-going training to internal business clients and colleagues relating to Global Procurement contract review.
- Develop a thorough understanding of the Company’s products, services, customers, and business model to assist the Company in meeting its business objectives in a legal, safe and compliant manner.
- Provide necessary legal support to the Global Procurement team during competitive sourcing process.
- Escalate, as appropriate, legal and business issues that arise during contract negotiations.
- Draft and manage standard contract forms and templates.
- Perform all other duties and special projects as assigned.
- Exceptional analytical and negotiation skills, integrity, and judgment regarding both legal and business issues
- Excellent interpersonal and communication skills to support a wide range of internal clients
- Specific experience with energy matters preferred
- Experience with Environmental Law, Finance, or M&A a plus
- JD from a top law school; member of a State Bar in good standing (Pennsylvania preferred)
- 7 years of prior large law firm or in-house corporate legal experience
