Our mission is simple: End Cyber Risk. We’re looking for a Senior Contracts Specialist to be a part of making this happen.

The Senior Contracts Specialist will act as a liaison to the Commercial Legal team, internal clients, customers, partners, and vendors to prepare, examine, analyze, draft, negotiate and process various types of commercial agreements, including non-disclosure agreements. The Senior Contracts Specialist will play an integral role in the management of administrative activities within the Commercial-Legal and Sourcing teams.

RESPONSIBILITIES

  • Draft and negotiate a variety of commercial agreements, including specifically, Non-Disclosure Agreements, and other assigned documents.
  • Collaborates with their legal supervisor to control agreement versions and prepare final drafts for review through execution.
  • Manages and tracks the signature process from beginning to end, including intake, signature processing, distribution and records retention for fully executed contracts.
  • Continue development of negotiations playbooks to capture fallback positions approved by counsel and document supporting business rationale that justify approach taken to review provisions for particular types of engagements.
  • Analyze commercial agreements and complete monthly data report against contracts attributes.
  • Prepare reports related to the Commercial Legal Team’s activities as requested.
  • Support administrative tasks related to corporate acquisition and integration activities, including analysis of contracts, assignment and consent letters, and other activities as assigned.
  • Participate in special projects and perform other duties as assigned.
  • Engage in continuous process improvement to further streamline contract processes within this role’s areas of responsibility.

SKILLS & REQUIREMENTS

  • Bachelor’s degree with 2-4 years of legal/contract drafting experience. Paralegal or other legal training, preferred.
  • Ability to identify risks within an engagement and escalate as appropriate.
  • Familiarity with the framework and operation of Non-Disclosure Agreements
  • Comfort and ability to learn and utilize a variety of software tools such as contracts management systems and compliance research / case management systems.
  • Ability to use Microsoft Excel, Outlook, Power Point, Salesforce, and Docusign proficiently.
  • Strong written, analytical, and communication skills.
  • Possesses attention to detail and sense of urgency in dealing with varying workload volumes.
  • Ability to prioritize tasks according to changing business demands.
  • Ability to work independently and escalate issues and questions, as needed.
  • Strong and demonstrated organizational skills to manage multiple priorities within a fast paced environment.
  • Skilled in demonstrating strong interpersonal and multi-tasking skills.
  • Skilled in client relations skills consistent with professional communications; effective, prompt and courteous communications especially in handling sensitive communications with parties.
