Summary:
The Paralegal is responsible for general corporate, mutual fund and closed end fund organizational and paralegal duties in a fast-paced legal department. This position provides support to the investment management, governance, and real estate areas of the legal department as needed. The Paralegal also supports in-house counsel on various projects (corporate, investment advisers, mutual funds, hedge funds, private funds, global funds, property management, contract management etc.) The appropriate person will be an enthusiastic, motivated, and dependable individual who is excited to take ownership of projects while, at the same time, being a valued collaborator on a team.
Primary Responsibilities:
- Manages the organization’s records, electronic files and attorney-reviewed documents.
- Prepares and/or files business and insurance forms.
- Works with governmental authorities on obtaining operational licenses and permits.
- Drafts legal documents, including but not limited to board meeting materials and agendas, resolutions, minutes, agreements, policies and procedures.
- Assists in-house counsel with the review of contracts and other legal documents.
- Serves as a liaison between the Legal department and other departments and outside affiliates/legal counsel.
- Assists in-house counsel as needed with special projects: Form ADV, regulatory and internal audits, closing binders, due diligence materials, insurance, etc.
- Handles administrative support functions including but not limited to: editing/revising documents, photocopying, faxing, filing, processing check requests and expense reports, scheduling meetings, travel and seminar arrangements, etc.
- Handles confidential and sensitive information including contracts, offerings, litigation, etc.
- Conducts legal research on a variety of topics.
- Maintains file management and document control, including resource material, directories, reference guides, contract review, Counsel CLE credit, etc.
- Performs related duties as assigned.
Preferred Qualifications:
- Bachelor’s degree required.
- Paralegal certificate preferred (from an accredited ABA approved curriculum).
- At least 2 years of corporate legal support or general paralegal experience, including contract review.
- Must have excellent research and drafting skills.
- Must have good attention to detail with strong organizational skills.
- Must have excellent oral and written communication skills.
- Strong computer skills in Microsoft Word, Excel, PowerPoint, and Outlook.
