Position Summary
The Contract Manager works as a member of the NCR Law Department, with a collegial and professional team of contract managers and attorneys. The Procurement Contract Manager is responsible for drafting, reviewing, negotiating, and finalizing procurement contracts that support NCR’s business objectives, with a specific concentration on contracts for software licenses, cloud services and outside services contracts in the banking industry. The Contract Manager develops negotiation strategies, conducts negotiations with suppliers, evaluates risk exposure, and makes recommendations to business clients within NCR, including senior management. The Contract Manager works with internal organizations such as Global Sourcing, Product Management and various subject matter experts within the Law Department, such as Privacy, Intellectual Property, and Compliance, to ensure compliance with internal policies and appropriate risk allocation between NCR and its suppliers. Candidates must be able to work under the pressure of deadlines and demands from a variety of business clients and contract counterparties.
Key Areas of Responsibility
Meet with internal clients to fully understand the business objectives and assess the risks arising out of a proposed procurement transaction. Actively lead the team in negotiating with the supplier’s senior management, attorneys, and contract professionals. Serve as primary point of contact during negotiations with a supplier.
Review, edit, and draft responses to supplier proposed terms and conditions; develop or facilitate the development of contract templates and other tools to be used by internal procurement teams.
Advise business people and senior management and make recommendations about contractual risks which create legal and business exposure ; Identify risks; facilitate internal review of issues, and obtain management/legal resolution; Exercise sound judgment in determining when issues require the involvement of other parts of the business or the Law Department; Work closely with commodity teams and product managers within the Banking Business Unit to identify and mitigate risk in sourcing contracts.
Following the execution of a contract, provide front-line contractual support for interpretation, including working with procurement teams, senior management, and other members of the Law Department on potential disputes.
Maintain in-depth knowledge of procedures, processes and policies, especially the Contracts Policy, Global Sourcing Policy, and the Revenue Recognition Policy; be knowledgeable of commercial contractual laws and practices within the Information Technology industry; possess working knowledge of Solutions (products and services) and capabilities, and general business laws.
