PURPOSE:

CareFirst is seeking a motivated attorney to join its legal team.  The successful candidate will draft, review, and negotiate a broad range of complex commercial contracts across all lines of business, ensuring legal and commercial sufficiency and compliance with corporate policies and procedures. This position provides guidance, training and leadership to all associates and contractors performing sourcing functions across the Strategic Sourcing and Procurement Department (SS&P) to ensure legal, compliance, risk management, and overall contract quality assurance.

ESSENTIAL FUNCTIONS:

Contracting and Compliance:

  • Draft and negotiate a variety of complex commercial contracts, including but not limited to Consulting Services Agreements, Software License Agreements, SaaS agreements, NDAs, etc. with little or no supervision.
  • Ensure all contracts adhere to applicable standards and corporate Legal policies, and are internally consistent and appropriately address legal and risk considerations. 
  • Ensure SS&P’s use of appropriate contract templates. 
  • Support enterprise-wide transformation efforts.   
  • Provide creative ways to negotiate to reduce risk and enhance value to CareFirst. 
  • Ensure staff adherence to Legal and Risk process controls using the Ariba Source-to-Pay system.
  • Provide leadership and direction to SS&P associates to:
    • Ensure legal and commercial term sufficiency.
    • Resolve significant complex negotiation issues and.
    • Act as an effective point of escalation for SS&P staff during supplier negotiations
    • Provide leadership and guidance to CareFirst business owners related to complex legal and commercial terms.
    • Identify, communicate and escalate to the Director contract issues and material deviations from established contract guidelines.

Procurement Risk Management:

  • Ensure SS&P’s adherence to corporate Risk policies. 
  • Ensure all contracts adhere to applicable CareFirst Risk standards.

QUALIFICATIONS:

Education Level: Juris Doctor

Experience: 1 years experience in corporate contracting.

Preferred Qualifications:

  • Demonstrated experience with contract drafting, contract terms and conditions and contract negotiations.
  • Knowledge of current technology trends and their impact on legal and risk requirements and industry best practices (e.g. cloud technology, data privacy, and IT security).
  • Knowledge of the FAR/HIPAA/Medicare regulations.
  • Basic understanding of property/casualty/professional liability insurance and risk management principles.
  • Knowledge of Ariba or similar procurement automation tools.

Knowledge, Skills and Abilities (KSAs):

  • Excellent project and time management skills including risk assessment, workplan development and management.
  • Developed analytical, organizational and coordination skills.
  • Effective presentation, negotiation and influencing skills to interface with all levels of management and suppliers.
  • Able to apply complex problem-solving abilities to achieve problem and process solutions.  Ability to spot, communicate and mitigate issues.
  • Computer proficiency in Microsoft Office applications, including Excel, Word and PowerPoint.
