What are the responsibilities and job description for the Corporate Paralegal position at Centerline Business Services?
Summary: As a Corporate Paralegal, you will be responsible for providing support to the Legal Department regarding all regulatory and compliance needs in a complex and multi-state environment.
Essential Tasks:
In addition to providing corporate paralegal and administrative support for the company's Legal and Compliance Department, responsibilities will include but may not be limited to the following:
· Perform administrative tasks related to general data entry and organization using Excel and Microsoft Word, such as preparing correspondence and maintaining electronic files;
· Conduct research to assist attorney in determining jurisdictions for qualification and licensing;
· Assist with corporate filings, including formation and dissolution of entities;
· Assist with tasks related to regulatory complaints, including employment claims and OSHA claims;
· Assist with contract management (e.g., maintain electronic contract database).
· Assist in responding to subpoenas;
· Develop a thorough knowledge and understanding of all company business segments to better advise and provide legal, contractual, and regulatory support as well as assist in furthering business initiatives and strategies;
· Assist in all aspects of mergers and acquisitions;
· Complete licensing and regulatory filings, including federal, state, local, contractor, and professional registrations and licensing;
· Support of the company’s insurance program including the handling of requests for certificates of insurance and bonding requests, as well as other routine insurance requests;
· Oversee all annual report filings;
· Monitor service of process database;
· Organize acquisition documents and prepare electronic closing binders
· Partner with other members of the legal team on special projects and initiatives;
· Handle various ad hoc requests from internal and external business partners; and
· Other duties as assigned.
Qualifications:
· Bachelor's degree in a related area is preferred; however, experience may be substituted for education;
· Minimum of three (3) years of experience in a corporate in-house legal department or law firm supporting corporate clients;
· Must have one or more of the following experiences, and be willing to learn and cross-support as needed:
-Regulatory experience;
-Transactional experience;
-Corporate compliance experience;
-Experience conducting legal research
· Candidate must have experience with MS Word (including significant experience in formatting and editing) and intermediate-level MS Excel skills;
· Previous experience with automated records management and SharePoint preferred.
· Strong written, organizational and oral communication skills;
· Ability to work with little or no supervision, through own initiative.
· Detail oriented and accurate.
