Job Details: Assistant Legal Manager

Typical Responsibilities:
- Assist and provide direct support to attorneys and other members of the China legal team;
- Prepare draft agreements, correspondence and other documents for attorney review;
- Draft and maintain transaction checklists and key contact lists, prepare closing documents, prepare exhibits to documents;
- Translate legal and business documents between English and Chinese;
- Prepare, circulate for approval, and finalize closing memos;
- Conduct follow-up regarding post-closing items, such as finalizing and obtaining copies of closing documents;
- Review executed agreements and enter relevant information in database; generate database reports as requested;
- Organize and conduct legal due diligence investigations as instructed by attorneys and prepare due diligence reports;
- Coordinate the formation, registration, and utilization of corporate entities;
- Maintain paper and computer files of approved standard management and financing agreements;
- Coordinate and disseminate changes to standard forms;
- Maintain intranet website for Group, including posting and updating frequently used forms and related documents;
- Manage data input for territorial and similar databases; conduct territorial searches, and generate reports;
- Assist attorneys in researching existing documents for sample language and alternative contractual provisions;
- Research topics relating to particular subject areas as instructed;
- Undertake other duties and special assignments, including research, review and analysis, as requested.

- Excellent oral and written communication skills;
- Excellent command of English and Chinese languages, both oral and written;
- Ability to interact effectively with individuals at all levels of the organization;
- Ability to present ideas and information in a concise, organized way;
- Proficiency in Microsoft Word, Outlook, EXCEL and PowerPoint software applications; and
