Role And Responsibilities
As a Senior Level Transactional Attorney, you will be responsible for handling sophisticated professional services agreements, master service agreements, engagement letters, statements of work, non-disclosure agreements, and other associated matters for clients across various industry sectors. You will work together with internal business teams, subject matter experts, and risk management and assist other attorneys and partners on the team.
Reviewing and analyzing complex bank merger and consolidation transactions, proposals by bank holding companies to engage in novel nonbanking activities, requests for interpretation of various Federal banking laws, proposed amendments to the Federal banking laws and regulations, and other matters within the scope of the Federal Reserve's regulatory authority
Drafting, negotiating, and advising stakeholders with respect to complex commercial contracts with clients and third-party service providers
Investigating and resolving disputes arising in connection with the company's relationships with clients and third-party service providers
Educating internal clients with respect to the positions and issues that arise during contractual negotiations
Working with internal clients to solve legal, risk, and business issues that arise in commercial transactions
Understanding and applying regulatory changes to new and existing contracts
Managing and prioritizing multiple concurrent projects
Participating in various activities related to corporate governance, regulatory compliance, and third-party risk management
Populating and maintaining contract files and repositories
Assisting with policy and procedure drafting and review
Qualifications And Education Requirements
Juris Doctor degree from accredited law school
Bachelor's degree in accounting or finance or relevant coursework obtained through an MBA
Current Texas state bar admission
Extensive training/experience in Finance/Accounting (baseline requirement)
Complex commercial litigation experience
4-6 years' experience in transactional/corporate matters
General knowledge in the regulation of financial institutions or in the regulation of securities, derivatives, insurance or commodities
Ability to effectively prioritize work and business needs
Collaborative, self-motivated, and highly professional
Values and thrives in team-based approach
Experience with transfer transactions and related
Excellent oral and written communication skills, strong analytic and interpersonal skills, personal initiative, and adaptability in working across legal disciplines
