Job Description
The Senior Analyst M&A is responsible for assisting M&A Managers and Directors with all aspects of acquisitions and divestiture activities globally, to ensure adherence to acquisition policies, sound commercial decisions and an efficient deal process.
Responsibilities include, but are not limited to:
Target evaluation:
- Assist in preparing valuation model and run various sensitivities to stress-test potential outcomes and ensure deal falls within DI’s acquisition return parameters
- Assist in preparing detailed proposals for each deal and presenting to DI acquisition management
- Support presentation of initial deal terms with sellers; draft initial offer in conjunction with M&A Managers / Directors and legal team
- Maintain a deal pipeline and prepare updates for the DI Global acquisition management on a regular basis
- Assist in earnout calculation and working capital adjustment processes, liaising with Finance Group in London to provide clarifications and obtain approvals
Deal process:
- Assist M&A Managers and Directors in the deal process from signing of letter of intent to integration, in line with group policies and delegated authorities
- Work with outside diligence advisors to ensure appropriate scope of work in line with group policies and delegated authorities
- Review all diligence reports; compile issues action list accordingly for final reporting to the acquisitions committee
- Assist in the preparation of all purchase accounting entries and liaise with DI accounting group to ensure compliance with DI’s accounting policies and IFRS
- Maintain a post-transaction schedule of closed transaction purchase agreement requirements, including future earn-out payments, closing balance sheet submission, escrow release, etc.
- Assist M&A Managers and Directors with overseeing the auditors’ performance of earn-out reviews, the preparation and review process and communication of results to the DI acquisition management for approval of earn-out payments
Ad Hoc Projects:
- From time to time the Senior Analyst of M&A will be asked to take on ad hoc projects which may include things such as (but not limited to) internal financial reviews of trading units, advise start-up groups / business lines within DI
Qualifications
- Bachelor’s degree in Accounting or Finance
- CPA certification preferred
- 2 years of Accounting or Finance experience including at least 1 year at a Big 4 Accounting firm, investment bank or similar institution preferably working in the media and technology sectors. Mergers and Acquisition experience a plus
- Experience working for an advertising agency or professional services company a plus
- Strong analytical skills and experience working with financial models
- Proven ability to interact with people at all levels of an organization, fostering strong cross-functional teamwork and results
- Strategic thinking ability with balanced analytical and creative approach
- High-level proficiency in MS Word, PowerPoint, Excel and Outlook

- Proven track record of contributing to internal operations and business development beyond the specific service line of Finance
