Responsibilities

  • Identify control weaknesses and opportunities for improvement of the Corporate Compliance Program.
  • Provide regular training of all directors, executives, officers and employees regarding the Program and the Code.
  • Manage the Corporation’s Ethics Channel (Helpline) according to government guidelines and in accordance with industry best practices. Coordinate with SVP Human Resources as needed regarding employment/employee issues.
  • Investigate reports of suspected Code violations.
  • Report any matter deemed potentially illegal, unethical or otherwise abusive or improper to the Committee.
  • Prepare any Compliance Management System review report to the Board of Directors and other reports required by the Corporation’s parent company.
  • Ensure awareness of the Compliance Program at all levels of the organization and that the Company is complying with regulatory requirements.
  • Plan and conduct compliance monitoring, including oversight for the day-to-day practice of the Company’s Compliance Program.
  • Develop recommendations for corrective action, with regards to compliance matters that affect the Company.
  • Oversee Compliance Program initiatives that match the local, state and federal government and construction regulatory environment (including, but not limited to, Federal Acquisition Regulations and DBE regulations) in which the Company operates.
  • Investigate questions/concerns from employees and external entities. Provide general guidance and recommendations in relation to compliance and ethical matters.
  • Review a wide variety of corporate and entity policies/procedures.
  • Ensure coordination and build effective relationships with other company departments to ensure effective implementation of the compliance and ethics program.
  • Review and advise on contractual compliance issues in the different jurisdictions in which the Company operates.
  • Ensure that appropriate standards, practices, and internal controls, including a code of conduct, are adopted and explained to those affected.
  • Ensure that each compliance risk area is identified and assessed periodically and appropriately addressed through the compliance program.
  • Maintain a central electronic repository for Company-wide compliance and code of conduct requirements for: Compliance policies & procedures; Internal controls; Form (paper & electronic) and other information for disclosure of Conflict of Interest; and Other records related to Compliance and Code of Conduct.
  • Maintain and monitor policies and procedures as needed to support the Company, governmental, legal and legislative initiatives
  • Provide guidance and counsel to the M/W/DBE Diversity Manager on M/W/DBE issues.
  • Any other responsibility the Committee may commission or in accordance with industry best practices which match the local, state and federal government and construction regulatory environment in which the Company operates.
