Summary: We are seeking experienced corporate attorneys for contract engagements or consulting roles. This opportunity provides a chance to work with a variety of clients and peers while still maintaining a good work / life balance. Applicants must have at least six (6) years of experience structuring, drafting, negotiating, and reviewing a wide variety of sophisticated corporate and financing transactions, etc. Prior experience working at a large law firm and/or in-house with a major company is preferred.

· 6 years of experience in Corporate Law

· Excellent academic credentials from a U.S. accredited law school.

· Outstanding references.

· Licensed and in good standing in state of residence.



Position Details for the Corporate Attorney:

· Type of Role: Engagement / Project Base / Contract

· Position is in support of in-house attorneys; hence no signing authority



Responsibilities:

Protect clients from legal risks and regulatory violations in all business transactions and develop strategies for risk-mitigation.

Assess legal rights and legal risk of various company structures, and make recommendations for corporation, joint venture, limited partnership, and limited liability company options.

Perform complex legal research and extensive due diligence.

Evaluate current and new projects, partnerships, mergers, divestitures, and acquisitions for potential legal issues.

Give legal advice to clients on corporate governance, policies, procedures, finances, intellectual property, employment, operations, and regulatory issues, and guide them towards best practices in corporate law regulation compliance.

Draft, review, and modify contracts, government and financial reports, process and procedure policies, and other legal documents as required.

Negotiate on the clients’ behalf to create, modify, and execute deals.

Consult and handle all corporate legal processes (e.g. intellectual property, mergers & acquisitions, financial/securities offerings, compliance issues, transactions, agreements, lawsuits, patents)

Develop company policy and position on legal issues.

Research, anticipate and guard company against legal risks.

Guide managers and ensure compliance with rules and regulations.

Structure, draft and review reports and other legal documents.

Draft and administer all contracts.

Negotiate deals and attend company meetings.



Qualifications:

Four-year bachelor's degree, along with a three-year law degree from an accredited law school

Licensed to practice law and member in good standing of the state bar association.

3-5 years of experience as a corporate lawyer, a staff attorney or associate attorney for a corporate law firm, or as in-house counsel for a corporation.

In-depth transactional knowledge and understanding of corporate law, tax law, and securities law is necessary.

Computer proficient - ability to use MS Office and Google Suite.

Superb analytical, negotiation, and communication skills are crucial.

Proven comparable law firm experience.

Proven background on corporate law (contract law, tax law, accounting, securities law, bankruptcy, intellectual property rights, licensing, zoning laws).

Excellent negotiation and communications skills.

Administrative and managerial skills.

Analytical ability and strong attention to detail.

A minimum of 5 years of experience drafting, reviewing, and negotiating commercial contracts in-house for an F500 company

Experience creating contract templates and managing contract databases.

Adapt to changing priorities and proactively identify areas of need and generate and implement action plans.
