In House Contracts Attorney
We are looking for experienced in-house counsel to join our growing engineering consulting firm. In this role, you will own the contract management function for all professional services agreements and NDAs with our customers, as well as vendor/software licensing agreements. You will use your expertise to develop and implement a streamlined and efficient contracts creation, management, review, and negotiation process, enhancing our standardized legal documents for risk mitigation and ease of use. You will create or implement legal policies, processes, checklists, training, and risk assessments to promote a culture of compliance and risk management, while satisfying our corporate objectives and accommodating our clients’ needs. You will efficiently utilize outside legal counsel to advise the company on legal matters that cannot be satisfied internally.
This position is a flexible in-office and WFH position located at our corporate headquarters in Austin, Texas.
Typical Duties Include the Following:
Manage a broad and varied workload with key emphasis on customer contracts, as well as vendor contracts, employment matters, and general business legal requirements.
Reviewing, drafting, and negotiating professional services agreements, such as client MSA’s, consulting and contractor agreements, NDA’s, etc.
Reviewing, drafting, and negotiating procurement and software licensing agreements.
Reviewing, drafting, and advising upon Data Protection & Cybersecurity Agreements.
Review, improve upon, and maintain/control in-house suite of standardized contracts and agreements (consulting, NDA, employment, etc.).
Identify, implement, and maintain suitable contracts management technology.
Build relationship with sales and lines of business leaders, focusing on providing support throughout the RFP and contracting process to ensure successful negotiations.
Collaborate with finance to help ensure relevant contract terms are properly identified for revenue recognition purposes.
Developing and providing internal training to employees relating to various transactional issues to create consistency and reduce risk.
Identifying and analyzing legal issues and developing and effectively communicating sound, understandable legal/business recommendations to appropriate management.
Active participation in M&A transaction diligence and structure review.
Support global expansion, including potential acquisitions, PEO outsourcing, contractor agreements, commission and incentive programs, etc.
Conduct legal research on complex matters.
Stay informed on current legislation, regulation, and industry trends.
Assist with disputes and consult with outside counsel as needed.
Skills & Requirements:
J.D. degree from accredited law school and admission to at least one state bar required
Minimum of seven (7) years of legal practice in contract creation, review, and negotiations, particularly aimed at professional services/consulting
Understanding of data privacy and cyber security standards and experience negotiating Data Protection Provisions in professional service contracts
Experience with governmental clients and government RFPs
Outstanding analytical, consulting, drafting, dispute resolution and negotiation skills with the ability to make well-reasoned legal and business judgments
Excellent oral and written communication skills
Proven ability to deal tactfully and confidently in a high-demand/fast-paced environment
Proven ability to prioritize and manage concurrent requests from internal client groups
Strong leadership skills, “results-oriented” mentality, and a knack for responsiveness
A confident, positive, collaborative, and assertive personality conducive to effective and harmonious interactions with other attorneys and the Company's business personnel
Can strike a sensible/practical balance between legal risks and the need to do business
Willingness to learn new areas of law, acquire new skills, and take on additional and/or new responsibilities on an “as needed” basis
Flexibility in work hours and availability, especially during major projects and events
