What are the responsibilities and job description for the Assistant General Counsel position at Fortive?
In this role, you will report to the Vice President – Associate General Counsel and Corporate Secretary, work closely with the Vice President – Associate General Counsel, M&A, and be a member of a highly collegial legal team to prepare and review required SEC filings, investor communication, board materials, M&A transaction documents, venture capital investment documents, financing agreements, equity compensation materials, and procurement agreements. You will collaborate with senior leaders in finance, treasury, corporate development, strategy and human resources as a critical member of the corporate team. This is a highly visible role, with interaction with C-suite leaders and board of directors and with significant opportunity and support for professional and career development.
Responsibilities:
- Assist in the preparation and review of the Company's SEC filings and other public disclosure documents, including 10-Ks, 10-Qs, 8-Ks, and other SEC- and NYSE-related documents
- Ensure compliance with SEC and NYSE listing rules, where applicable
- Support the SVP, General Counsel and VP – Corporate Secretary in advising the Board of Directors on corporate governance matters and preparing/reviewing board materials
- Serve as a key business partner to the Company's Finance, Investor Relations, Treasury and HR functions
- Support the VP – Corporate Secretary in designing, preparing and reviewing annual proxy statement and annual report
- Support the SVP – General Counsel and VP – Corporate Secretary in organizing and preparing for the Company’s annual shareholder engagement on governance, compensation, sustainability, board composition and human resource matters
- Support the VP – Corporate Secretary in administration of the Company's insider trading policy and preparing/filing Section 16 reports
- Support the VP – Associate General Counsel, M&A in preparing and reviewing non-disclosure agreements, investment documents, acquisition materials and anti-trust filings, coordinating diligence, and executing signings and closings for a broad range of transactions, including cross-border M&A
- Support the VP – Associate General Counsel, M&A in coordinating integration of acquired entities
- Assist VP – Corporate Secretary with various legal matters and perform other tasks as assigned from time to time, including supporting the global procurement and aviation teams.
Minimum Qualifications and Experience:
- J.D. degree from an accredited US law school
- 2-5 years experience practicing as a corporate associate at a top-tier law firm
- Member in good standing of a State Bar Association
- Highly driven, with learning agility and desire to expand skill set
- Desire to approach legal issues as a business partner, collaborating with colleagues to find solutions that best serve the Company
- Self-starter and independent but with wisdom to escalate and collaborate when needed
- Outstanding listener and effective communicator at all levels of the organization and outside parties
- Organized and detail-oriented
- Enthusiasm for establishing and maintaining effective working relationships with cross-functional teammates in a dynamic matrix organization
