As part of Garver’s growing team, the Mergers and Acquisitions (M&A) Manager will be largely responsible for the major tactical components of Garver’s M&A strategy. The successful candidate will be tasked with leading critical M&A processes and due diligence: strategic alternative analysis, screening opportunity candidates, valuation development, synergy analysis, pro-forma analysis, interloper analysis, deal structure consideration, tactical approach issues and contingency planning.
The Mergers and Acquisitions Manager must have the ability to work as a member of a multi-disciplined team, contribute collaboratively with corporate finance, financial operations, corporate counsel, accounting and tax partners, and business line stakeholders to review and take appropriate actions on all M&A matters. The candidate must demonstrate strong interpersonal skills by developing relationships with Garver Executive and Business Line leaders and serve as a trusted advisor who excels in both providing technical and strategic acumen.
Role Description and Responsibilities
- Lead the Garver Finance M&A process from deal sourcing through transaction closing
- Develop valuation ranges and examine different valuation methods for the structure of the deal
- Exhibit the best practices of due diligence, deal documentation, and transaction structuring in M&A transactions
Role Requirements
- Bachelors’ Degree in a Business or Mathematics related field, Master of Business Administration preferred
- 6 years of results-oriented work experience in similar role including corporate development, strategy, investment banking or private equity required
- Support the CFO, COO, General Counsel, Financial Operations Director, and Business Line Directors in analyzing and reviewing the financials specifically related to M&A opportunities and transactions
- Identify acquisition opportunities, with Business Line stakeholders, to enhance strategic advantages and grow top line revenues
- Experience to model and synthesize complex financial analysis, operational and KPI data into concise presentations with decision framework, on a regular basis required
- Experience in leading mergers & acquisitions review and execution, analyzing business proposals, leading due diligence process, understanding the legal framework and structuring transactions required
- Experience in small to mid-cap deals working with target companies in the $10-100 million dollars range required
- Collaborate with strategic tax and planning partners and coordinate with the M&A team on valuation data requests to assist with transactional accounting and tax implications
- Assist in managing key control reviews, (periodic, quarterly, and year-end close) including review of delivered income progress updates and internal management reporting related to M&A transactions
- Identify opportunities for process improvement and digitization for increasing efficiency and value delivered and to support execution of any resulting initiatives as applicable
- Set and monitor standards for the quality of deliverables/reports owned by the M&A team and enable team to meet or exceed the standards
