With a robust portfolio of successful deals and a commitment to innovation, they are currently seeking a highly skilled Corporate M&A Associate to join our legal team.
Position Overview :
You will work closely with cross-functional teams, including executives, finance professionals, and external legal counsel, to ensure compliance with applicable laws and regulations and to execute successful transactions.
This is an exciting opportunity to work on complex and high-profile deals, contributing to the long-term success of our company.
Responsibilities :
- Provide legal advice and guidance on all aspects of the mergers and acquisitions process, including due diligence, deal structuring, negotiation, and documentation.
- Draft, review, and negotiate a wide range of transactional agreements, such as purchase agreements, merger agreements, confidentiality agreements, and other related legal documents.
- Conduct thorough legal due diligence reviews to identify and mitigate potential risks and liabilities associated with target companies.
- Collaborate with internal stakeholders, external legal counsel, and other professionals to ensure compliance with legal and regulatory requirements.
- Assist in the development and implementation of corporate governance and compliance policies and procedures.
- Stay updated on relevant legal developments, industry trends, and best practices in corporate M&A law and share knowledge within the legal team and the organization.
- Manage multiple transactions simultaneously and work efficiently to meet tight deadlines.
- Participate in negotiations and communicate effectively with counterparties to achieve favorable outcomes for the organization.
Qualifications :
- Licensed in good standing to practice in Connecticut
- 3-7 years of experience as a corporate attorney with a focus on mergers and acquisitions, preferably in a law firm or in-house legal department of a large corporation.
- Strong expertise in corporate law, securities regulations, and contract law related to mergers and acquisitions.
- Proven track record of successfully handling complex M&A transactions from inception to closing.
- Exceptional negotiation, drafting, and analytical skills with a keen attention to detail.
- Familiarity with international M&A transactions and cross-border regulations is a plus.
