We are seeking a Mergers & Acquisitions Manager - Remote who will both support Hanger’s mergers and acquisitions led by senior members of the Mergers & Acquisitions Team, and lead mergers and acquisitions with the support of analysts. The ideal candidate will be able to lead and manage M&A project teams through all phases of the acquisition process. In this role, you will leverage exceptional expertise to partner closely with senior members of the Mergers & Acquisitions Team and effectively communicate with all departments as well as the Senior Leadership Team.
Your Impact
- Identify and prioritize acquisition opportunities in collaboration with M&A and Hanger Clinic leadership
- Review and assess new acquisition opportunities and transition them into the M&A process
- Review and analyze financial statements; conduct trend analysis, benchmarking analysis, and identification of potential synergies and appropriate financial statement adjustments
- Analyze the business operations and strategic considerations for acquisition opportunities; review and/or prepare the business case and pro forma financial statements for presentation to Hanger Clinic leadership
- Conduct valuation analysis and review, prepare, and negotiate term sheets
- Manage, or support the management of, due diligence, including coordination of diligence activities and performing certain financial and operational diligence procedures
- Determine the impact of due diligence results on the valuation, term sheet, and purchase agreement
- Manage or support the preparation and negotiation of the purchase agreement; interact with the attorneys and sellers
- Manage preparation of schedules related to the purchase agreement
- Coordinate with the VP of Operations to ensure timely completion of integration tasks
- Monitor performance of acquired companies’ financial results versus the pro forma
- Present updates to the Senior Leadership Team
- Develop ad hoc analyses, projections, reports, and presentations
Minimum Qualifications
- BA/BS degree in accounting, finance, economics or similar technical field
- Minimum of four (4) years of relevant experience; at least three (3) years of which should be direct M&A transaction experience
Additional Success Factors
- Communicate effectively for accurate and concise oral and written presentations to the Director of M&A, Senior Management, Sellers and their accountants and advisors
- Able to manage multiple projects effectively
- Experience managing a team of direct and indirect reports
- Proficient in Windows based office technologies (ex. Word, Excel, PowerPoint)
- Able to develop credible internal and external relationships
