Job Description

I.  Position Summary and Primary Responsibilities    
Provide paralegal administrative support for the corporate function.
Essential duties and responsibilities include the following.  Other duties may be assigned.

• Preparing ancillary documents in all aspects of corporate transactions such as entity formation and reorganization, mergers and acquisitions, and joint ventures and strategic partnerships.
• Monitoring and reviewing transactional documents for the purpose of tracking the status of projects.
• Managing internal corporate transactional database.
• Preparing due diligence request lists and managing the collection of due diligence information and responses.
• Assisting with the preparation and organization of SEC filings, including the annual proxy statement, annual reports on Form 10-K, and quarterly reports on Form 10-Q.
• Working with the Company’s transfer agent to assist with securities matters in support of the Company’s various matters.
• Maintain domestic and international minute books and databases.
• Preparing necessary documentation, including resolutions, certifications, and name changes, and authenticating documents related to subsidiary companies. 
• Prepare and file beneficial holdings reports with the SEC.
• Manage the logistics of the Company’s board meetings, including drafting agendas, planning locations, and events for directors, drafting minutes based on notes from meetings, overseeing the uploading of materials to directors in advance of meetings, and responding to directors’ questions.

Qualifications

Basic Qualifications 
A. Education 

• High School Diploma

B. Experience 

• Minimum five to seven years experience as a paralegal, either in a law firm’s corporate practice or inhouse at a publicly-traded company
• Notary Public

Preferred Qualifications  
A.Education or Experience

• Paralegal certification
• Experience working with global companies and international subsidiaries of global companies
• Ability to use, or quickly learn, BoardVantage, Microsoft Word and PowerPoint, and one or more subsidiary management software tools
• Four or more years’ experience handling ancillary documents for financing and M&A matters
• Two or more years’ experience working on logistical matters for a public company board of directors

B.Interpersonal Skills

• Ability to multi-task, prioritize and be responsible and flexible in a fast-paced environment
• Strong oral and written communication skills and attention to detail
