Job Summary The HCSC Legal Division seeks a seasoned leader with broad substantive legal and management experience to serve as VP, Illinois General Counsel, reporting to the Divisional SVP, Enterprise Plan Counsel. HCSC is the largest customer-owned health insurer in the United States, operating through its Blue Cross and Blue Shield plans in Illinois, Montana, New Mexico, Oklahoma, and Texas. The Blue Cross and Blue Shield of Illinois plan is the largest health insurance company in the state, providing over 8 million members with access to affordable health care. This role will be responsible for providing leadership within the HCSC Legal Division and serving as a trusted advisor directly to Blue Cross and Blue Shield of Illinois senior leaders on matters relating to applicable laws, regulations, and business arrangements. In a highly complex and evolving regulatory environment, the ideal candidate will provide sound, actionable legal advice on health plan operations, governmental audits or inquiries, regulatory requirements, contracts, and strategic partnerships. A successful candidate will serve as a partner to our business leaders in developing adaptive strategies to support HCSC’s established business and to further its growth while continually advancing HCSC’s mission of expanding access to high-quality, cost-effective health care. Key Responsibilities: Serve as integrated team member within Blue Cross and Blue Shield of Illinois executive leadership, providing strategic and practical legal advice with a focus on Illinois insurance regulation and requirements relating to third-party administrators. Advise all levels of the business on regulatory compliance, health plan contracting (e.g., delegation, provider, customer, vendor and other agreements), health care management, dispute resolution, and various other health plan regulatory and operational matters. Manage a team of experienced attorneys and legal professional staff while cultivating culture of collegiality and high performance. Effectively collaborate on or lead large, complex cross-functional business and legal initiatives. Oversee Legal engagement with state regulator(s) and collaborate with government relations and other business stakeholders on significant regulatory interactions; Support senior leadership in meetings and interactions with legislators, government officials, state and federal agencies as required. Maintain expert level knowledge and skills relating to Illinois insurance regulation and maintain broad expertise across multiple related disciplines. Engage with and effectively manage outside counsel as needed to ensure high value to HCSC. Proactively contribute to HCSC Legal Division management and professional development initiatives. Qualifications: J.D. from accredited law school/Bar membership required. At least 15 years corporate legal department and/or law firm experience. Broad knowledge of the health insurance industry and applicable laws Experience successfully engaging with state and/or federal regulators. Complex commercial contracting experience and health care management experience preferred. Strong analytical, written, and oral communication skills, including negotiation skills. Interpersonal skills to develop and manage relationships with business clients at all levels, and interest and ability to become an integrated business partner with knowledge of health plan business operations. Strong ability to proactively identify issues, deliver quality and timely legal services, and propose actionable legal and business solutions. Ability to effectively lead a team of legal professionals with integrity, focusing on individual and team development in support of diversity, equity, and inclusion initiatives; ability to collaborate with other legal leaders on interdisciplinary substantive matters and divisional initiatives.
