Job Posting for Corporate Paralegal at Hotwire Communications
The Corporate Paralegal reports directly to the General Counsel and is responsible for gathering, preparing, and summarizing relevant materials for use by legal counsel. The Corporate Paralegal will lead strategic and tactical corporate legal initiatives, maintain files, index and track documents, facilitate business transactions, and assist with managing and ensuring compliance of the Company.
RESPONSIBILITIES:
Assist in the preparation of all documents required to form, maintain, and dissolve business entities, including corporations, not-for-profit organizations, partnerships and limited liability companies, and corporate restructurings.
Preparing and filing formation documents of all types of corporate entities including charter documents, organizational consents, bylaws, company agreements, partnership agreements, obtaining EIN’s and qualification in applicable state jurisdictions.
Assist with and manage regulatory compliance
Maintain and file corporate records, including resolutions, board of director changes, annual reports, etc.
Maintain the intellectual property portfolio
Produce documents related to the development and implementation of corporate policies and templates
Provide contract support for standard corporate agreements, such as non-disclosure, marketing, and independent contractor agreements
Working with other members of the legal team on special projects and initiatives
Draft and file annual reports, notices of changes of officers, directors, and related corporate information in jurisdiction of incorporation and in foreign jurisdictions in which corporation is qualified to transact business.
Monitoring and reviewing transactional documents for the purpose of preparing and updating closing checklists to track status of transactional documents and the progression the transaction.
Managing electronic document cloud/data room for uploading, organizing, and storing due diligence materials for review and collaboration with all parties of the transaction.
Reviewing loan transaction documents to determine collateral description for UCC-1 financing statements; preparing, filing, amending, and terminating UCC liens.
Working on post-closing matters, including preparing and organizing closing documents and binders.
Recording easements and searching real property records to determine property ownership, easements, and liens.
MINIMUM QUALIFICATIONS:
To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements listed below are representative of the knowledge, skill, and/or ability required.
Bachelor or Associate degree in paralegal studies or equivalent experience.
3-5 years’ experience with a law firm or Company providing support in corporate transactional, compliance, and financing matters
