A premier global law firm is seeking a finance associate to focus on asset-backed finance matters in its leading New York City office.

The Asset-Backed Finance Group represents clients ranging from highly sophisticated financial institutions to first-time issuers and startups, and the group has played keys roles in implementing many well-established securitization platforms in the market. The team has represented clients such as Bank of America, Barclays, Goldman Sachs and JP Morgan.
Experience:
- Candidates must have experience dealing with asset-backed finance transactions or asset-based lending, including advising borrowers, lenders, issuers, underwriters, placement agents and/or collateral managers in all aspects of structured finance offerings.
- Experience in drafting, reviewing and revising credit agreements, security agreements and closing deliverables is required.
- Experience in representing private equity sponsors and portfolio companies would be beneficial.
- Candidates should possess a strong academic background and superior drafting and negotiation skills, be willing to take on significant responsibility for deal management, client interaction and work product, be diligent, proactive, supportive and team-oriented.
Responsibilities:
- Representing financial institutions in a variety of financing transactions, including asset-based and cash-flow lending, subordinated debt, and mezzanine and structured finance transactions.
- Drafting, editing, and reviewing a variety of documents, including loan agreements, security, and guarantee documentation; intercreditor and subordination agreements; commitment papers; purchase and sale agreements; servicing agreements and closing documentation.
- Managing component parts of a financing transaction, including structuring, documentation, and closing.
- Conducting research and providing advice to clients.
- Conducting and coordinating settlements, including attending to satisfaction of conditions precedent, signing of documents, and registration of securities.
- Participating in business development and client relationship activities, interacting with clients, and liaising with colleagues in other offices and practice areas around the globe.
Salary : $225,000 - $390,000
