The department
The Janus Henderson Investors Legal Organisation enjoys an outstanding reputation for customer focus and impeccable integrity. This role provides a unique opportunity to work with a truly global structure for a company headquartered in London, domiciled in Jersey and dual-listed on NYSE and ASX. The high-performing and well-regarded Legal team provides advice on a broad range of public company and corporate issues.

Overview of the role
As a member of the Contracts group in the Legal department, you will apply a solid understanding of legal concepts in your review, revision and negotiation for a broad range of buy-side agreements with third party vendors, including professional services, cloud computing services and software licenses. You will be responsible for providing commercially focused legal advice to business partners while mitigating contractual risk to Janus Henderson Investors by applying corporate policies and addressing regulatory requirements. During this process, you will work with colleagues across various business functions globally and will partner closely with Procurement, Information Security, Data Privacy, Records Management and Compliance teams during the negotiation process. Key to your success will be the ability to shift support between various contracts and other projects as the need arises to accommodate dynamic priorities.

Duties and responsibilities
You will:
  • Review and negotiate a broad range of global buy-side agreements across all business areas globally, including software licensing, cloud agreements (SaaS, PaaS, IaaS) and professional services.
  • Review and negotiate data processing addendums to ensure compliance with data protection and privacy regulations, including GDPR.
  • Draft comprehensive legal and commercial contractual terms as necessary to align with Janus Henderson’s contracting framework and standard methodologies.
  • Collaborate and communicate regularly with relevant stakeholders to achieve comprehensive contract review and risk assessment, including Procurement, Information Security, Data Privacy, Records Management and Compliance.
  • Apply knowledge and corporate policies to mitigate contractual risk.
  • Provide legal support and guidance to business partners to ensure contract terms meet business needs within acceptable risk tolerance thresholds.
  • Provide creative and strategic business-oriented solutions to aid in the contract negotiation process.
  • Identify legal and commercial contractual risks and effectively convey concerns and provide advice to internal business partners to assist in decision-making processes.
  • Perform research and analysis that helps to ensure Janus Henderson operates in accordance with applicable legal parameters.
  • Ensure the accuracy of agreements, addendums and amendments.
  • Advise all areas of the business on a variety of topics, including contracts, Intellectual Property, Information Security and Data Privacy matters.
  • Assist in updating and maintaining contract templates.
  • Maintain well developed professional relationships.
  • Assist in recommending process improvements and efficiencies as needed.
  • Provide legal support to attorneys and assist with special projects as needed.
  • Carry out additional duties as assigned.

Technical skills and qualifications
  • Bachelor’s degree or equivalent required.
  • Paralegal or other relevant legal experience preferred.
  • Two years of experience in contract review and negotiation required.
  • Demonstrated familiarity with legal concepts such as intellectual property rights, limitation of liability, indemnification, warranties and confidentiality required.
  • Experience with issues related to data protection and privacy regulations (including GDPR) preferred.
  • Experience in the mutual fund/financial services or information technology industries preferred.

  • Completion of all assigned compliance training.

Compliance requirements
At a minimum the role will require you to:
  • Place the interest of Janus Henderson’s Clients first, act in accordance with TCF (Treating Customers Fairly) principles.
  • Understand and follow laws and regulations applicable for your role, seeking the help of your supervising manager or Compliance if additional guidance is required.
  • Understand and abide by all Janus Henderson policies applicable to your role and seek support/guidance of the policy owner guidance when required.
  • You are ultimately accountable for your actions and responsible for seeking further information on any or all of the above as necessary.

Compensation Information
The base salary range for this position is $75,000 - $85,000. This range is estimated for this role. Actual pay may be different.

Annual Bonus Opportunity: Position is eligible to receive an annual discretionary bonus award from the profit pool. The profit pool is funded based on Company profits. Individual bonuses are determined based on Company, department, team and individual performance.
