YOUR ROLE
JELD-WEN has an excellent opportunity for a paralegal with a focus on corporate governance and SEC filings to join our corporate legal team in Charlotte, North Carolina. Reporting to the Senior Counsel, Securities and Corporate Governance & Asst. Corporate Secretary, this role will support the day-to-day management of the corporate secretarial and securities law functions. The successful candidate will demonstrate a high level of integrity, have excellent communication and organizational skills, and be a self-starter with a strong commitment to detail.
YOUR RESPONSIBILITIES
- Assist with corporate governance activities, including maintenance of books and records for the Corporate Secretarial function; draft corporate governance documents; assist with the distribution of meeting materials and creation of board books through an electronic board portal (e.g., Diligent Boards); assist with management of post-meeting follow-ups, including shell minutes
- Assist with annual stockholder meeting, including coordination of annual meeting; drafting related materials; and initial drafting of minutes
- Assist with corporate filings, including proxy statements and Section 16 filings (Form 3s and 4s)
- Assist with facilitation of director education, evaluations and D&O questionnaires
- Maintain accurate and current officer, director and corporate governance information on the company’s website and board portal
- Assist with the compliance of corporate policies, including insider trading policy and communications regarding trade windows
- Attend to director compensation logistics to ensure all directors are paid accurately and timely and address questions from directors regarding the administration of director compensation
- Assist with securities offerings, as necessary, including coordination of document review, updating data rooms, etc.
- Provide project related support, research and analysis, and handling other issues and requests for information at the request of the governance attorneys in connection with corporate social governance reporting
YOUR QUALIFICATIONS
- Bachelor’s degree or Paralegal certificate
- 5 years of paralegal or equivalent experience (with focus on corporate governance and public company filings); experience working with publicly traded company
- Proven ability to prioritize and organize work and to respond to emails and requests in a timely manner – requires effective multi-tasking
- Strong teamwork and interpersonal skills
- Superior organizational skills and attention to detail
- Demonstrated ability to take initiative and take responsibility
- Demonstrated appreciation for the proper handling of sensitive and confidential information
- Advanced proficiency with Microsoft Office (e.g., Word, PowerPoint, Excel, Share Point)
- Experience with an electronic board portal (e.g., Diligent Boards) preferred
