Are you an experienced paralegal with a passion for corporate finance and law? Are you ready to take your career to the next level in a fast-paced, dynamic environment? Our company is seeking a highly motivated, detail-oriented Senior Corporate Finance Paralegal to join our legal team. In this role, you will handle a wide range of tasks, including drafting and reviewing legal documents, conducting due diligence, and managing complex corporate finance transactions. The ideal candidate will have a deep understanding of business and corporate law, along with a proven track record in a similar role.
Responsibilities:
1. Assist in the preparation and management of all aspects of corporate finance transactions, including mergers and acquisitions, equity financings, and debt financings.
2. Conduct thorough due diligence reviews and prepare detailed reports on findings.
3. Draft and review a variety of legal documents, including UCC financing statements, stock ledgers, cap tables, and stock option agreements.
4. Provide legal support and advice to the company's executive team on a range of corporate finance issues.
5. Manage the company's entity formation and corporate governance processes, ensuring compliance with all applicable laws and regulations.
6. Maintain a detailed and organized calendar of all legal deadlines and key dates.
7. Collaborate with other members of the legal team to develop and implement effective legal strategies.
8. Stay abreast of changes in corporate finance law and regulations, and advise the company on any potential impacts.
Qualifications:
1. A minimum of 5 years of experience as a paralegal, with at least 3 years in a corporate finance role.
2. Extensive knowledge of business and corporate law, particularly as it relates to corporate finance.
3. Proven experience with UCC financing statements, due diligence, stock ledgers, cap tables, and stock option agreements.
4. Exceptional attention to detail and the ability to manage multiple tasks and deadlines simultaneously.
5. Strong communication skills, both written and verbal, with the ability to effectively communicate complex legal concepts to non-legal personnel.
6. Proficiency in using legal research tools and software.
7. A degree in law, finance, or a related field is preferred.
8. Paralegal certification is a plus.
