The Director of Contracts will be responsible for leading the negotiation, execution, and oversight of contracts that support the company’s operations in the LNG industry. This position will ensure that legal agreements align with the organization’s goals in procurement, supply chain management, and risk mitigation while contributing to key areas like operational performance, safety, and cost control. The role will oversee contracts such as Master Services Agreements and Master Purchase Agreements to support a range of services and supplies for operations, engineering, safety, and capital projects. The Head of Contract Management will serve as a primary point of contact between the legal, procurement, and operational teams, ensuring that all business and legal requirements are met at both the company’s headquarters and facilities.
This role is based at the company’s headquarters in Houston, TX, with regular travel required to an operational facility in South Texas. The candidate must hold a valid driver’s license and be eligible to obtain a Transportation Worker Identification Credential (TWIC), which will be provided by the company after employment.
Responsibilities:
- Lead negotiations and draft agreements with external service providers and suppliers, ensuring compliance with company standards.
- Manage and maintain standard contract templates, including: Master Purchase Agreements (MPAs), Master Services Agreements (MSAs), Purchase Order Terms & Conditions (PO T&Cs), Professional Services Agreements, Confidentiality Agreements, amendments, and waivers, etc.
- Provide legal and contractual guidance to the Procurement Department and other internal stakeholders.
- Assist in implementing procurement policies to ensure legal compliance and reduce risk exposure.
- Work closely with Risk Management to ensure contractor insurance compliance and track coverage requirements.
- Support the company’s health, safety, and environmental (HSE) initiatives and ensure all contractual activities align with HSE standards.
- Develop standard alternative contract language and manage the company’s portfolio of active agreements.
- Review, draft, and negotiate contracts, including Purchase Orders (POs), Scopes of Work (SOWs), Requests for Proposal (RFPs), and related procurement documents.
- Maintain accurate and up-to-date contract records, ensuring efficient contract lifecycle management.
Qualifications:
- Bachelor’s degree in a relevant field.
- Juris Doctor (JD) and licensed attorney is preferred.
- Minimum of 5 years’ experience in drafting, negotiating, and managing complex contracts, preferably within the Oil & Gas or LNG sector.
- Knowledge of SAP or similar procure-to-pay systems is preferred.
- Strong written and verbal communication skills, with a demonstrated ability to work effectively with cross-functional teams.
- Proven ability to handle multiple contracts and competing priorities simultaneously.
Working Conditions and Physical Expectations:
- Primarily based in an office environment, with regular visits to an industrial facility in South Texas / on the Gulf coast of Mexico.
- Ability to use standard office equipment such as computers, phones, and filing systems.
- Must be able to lift up to 20 pounds and move between office and operational environments.
- Ability to stand, walk, sit, and engage in physical activities as needed for the role.
