Job Summary
- Act as an in-house counsel focused on corporate legal work relating to capital formation efforts and partnering with internal stakeholders and external counsel to lead/advise on the launch and management of the firm’s offerings.
- Collaborate with senior internal team members to achieve the firm’s business objectives.
- Strategize with internal stakeholders on legal issues impacting the firm’s platform including transaction-related legal work, fiduciary and conflict matters and other regulatory issues.
Responsibilities:
- Report to a senior member of the legal team with responsibility for management company and corporate matters, counterparty arrangements, and capital formation.
- Partner with internal stakeholders to structure private funds, separately managed accounts, joint ventures and co-investments and to strategize efficient ways of raising capital.
- Assist senior members of the firm in connection with investment transactions.
- Provide legal advice and support to the firm’s compliance team on regulatory matters.
- Analyze legal issues for their impact on capital raising activities and strategies.
- Maintain strong knowledge of legal/regulatory requirements and new regulations related to SEC registered investment advisers.
Qualifications:
- J.D. from an accredited law school with 2-5 years of experience in-house or at a law firm.
- Strong knowledge of corporate, securities, and contract law.
- Strong preference for candidates based in Minnesota.
- Experience with the Investment Advisers Act of 1940 strongly preferred.
- Experience advising alternative investment managers preferred.
