Job Description:
Our client is seeking a skilled and motivated Project Finance Attorney to join our dynamic legal team in Houston on a hybrid work model. As a leader in the utility scale energy sector, our client are dedicated to advancing battery storage solutions to support sustainable energy initiatives. This role offers an exciting opportunity to contribute to our mission by providing expert legal support for our financing and tax credit monetization transactions.
Key Responsibilities:
- Draft, review, and negotiate a variety of financing documents, including loan agreements, security agreements, and intercreditor agreements.
- Collaborate with internal teams and external stakeholders to structure, negotiate, and close project finance transactions.
- Advise on legal risks and strategies associated with financing transactions and ensure compliance with applicable laws and regulations.
- Provide legal expertise in the structuring and execution of tax equity and other tax credit monetization transactions.
- Draft and negotiate tax equity financing agreements, including partnership flip structures, sale-leaseback arrangements, and other relevant agreements.
- Work closely with tax advisors, financial advisors, and other external consultants to optimize tax credit monetization strategies.
- Advise and provide legal support for development, transmission and origination departments on project development related matters including interconnection matters, permitting and governmental contracts, ISO market participant matters, and origination RFP submittals
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Licensed to practice law in the state of Texas, or eligible for admission to the Texas Bar.
- Minimum of 3 years of experience in project finance, preferably in the renewable energy sector.
- Proven experience in handling financing transactions and tax credit monetization transactions.
- Strong understanding of project finance structures, tax equity financing, and related legal documentation.
- Excellent negotiation, drafting, and communication skills.
- Ability to work collaboratively in a team environment and manage multiple projects simultaneously.
- Strong analytical and problem-solving skills with attention to detail.
