Summary of Position
  • Manage the license term extension process for a massive library of content, including working with the rights and finance departments to identify content to be extended, and negotiating and drafting term extensions.
  • Manage projects put to and by the studio through multi-picture output deals (both rights in and rights out), including gaining consensus from multiple departments, negotiating, drafting, and reviewing confirmation letters, spotting issues, and ensuring compliance with the overall output agreements to which they belong.
  • Review proposed participations formats for compliance with the acquisition agreements, and the participations department and producers to ensure reporting and payment are timely and accurate.
  • Draft, negotiate, interpret, and maintain updated forms for agreements related to the acquisition process, including amendments, non-disclosure/non-interference, non-disturbance, direction for payment, cease and desist /DMCA takedowns, vendor and collection accounts, residuals assumptions, and more.
Responsibilities
  • Support department attorneys with agreements associated with the acquisition and distribution of entertainment content, acquisition, financing/co-financing, production services, distribution/sub-distribution, licenses, and others.
  • Interact with other departments (e.g., participations, accounts payable, acquisitions, rights managements, marketing, delivery, home entertainment, TV, creative, etc.) to facilitate the acquisition process, as well as monitor and resolve downstream issues once agreements are finalized or expire (e.g., mange third party requests to return assets, provide access, takedown content, etc., by connecting with the rights, asset & vault and digital sales teams, etc.).
  • Help to create, communicate, and implement department policy and systems, identifying areas for amelioration, and contributing to an enthusiastic and collaborative team environment.
  • Perform and assist with other day-to-day business affairs, legal, and administrative tasks as needed to support the department.
Experience & Skills
  • Have a 4-year undergraduate degree.
  • Have one of the following: (1) A JD from an accredited law school and/or bar license in the State of California, (2) a paralegal certificate and at least 2 years of experience in entertainment transactional law, or (3) at least 4 years of in-depth experience in entertainment transactions.
  • Be a highly organized, detail-oriented, self-starting problem solver; excited by facing new challenges on a daily basis.
  • Be proficient in office software and technology such as Microsoft Office (including Word, Excel, Outlook and MS Teams), Adobe Acrobat, Docusign, and familiarity with online resources (e.g., iMDB, box office mojo, the US Copyright Office, Secretary of State websites) and a willingness and facility to learn other programs (and to help teammates) as needed.
  • Have excellent interpersonal and communication skills, with the ability to critically think and thrive in a fast-paced, high volume and deadline-driven environment.

Nice to Haves
  • Expertise in one or more of the following: copyright law, security interests, film finance, film production, including development, above and below the line agreements and issues, marketing, delivery, rights management, and exploitation of ancillary rights such as videogames, theme parks, merchandising, music, and/or film sales
  • Proficiency with rights management software programs, and an ease with technology beyond the programs listed
  • Experience at a major or mini-major studio, massive streamer, or production company with high volume of projects
  • Enthusiasm about the film industry and the types of projects the company makes and distributes
