Corporate Counsel
Basic Function
Provides advice and guidance to MRIGlobal’s management and staff on legal transactions; prepares, reviews, and negotiates legal documents; and is a legal representative for the organization in litigation or other legal proceedings. Interprets the impact of various laws, statutes and regulations and legal issues on the organization, and helps the organization act within, and maintain compliance with, the law.
Nature and Scope
This position reports to the General Counsel. The incumbent must be knowledgeable about legal requirements affecting the areas of contracts, insurance, employment, intellectual property, and general business laws. In addition, maintains familiarity with current practices in the profession to work effectively in the job. Provides professional legal support and services, serve as MRIGlobal's liaison to client business or contractual representatives, offsite offices, and assists with technical and administrative department project activities in order to enhance conformance with MRIGlobal's corporate charter, contract obligations, and business policies, applicable law, and sound business practices. Demonstrates good judgment in making decisions that affect legal matters, negotiations, policies, and procedures that impact MRIGlobal operating strategies and performance.
Essential Functions
1. Provides assistance and guidance to MRIGlobal management and staff to limit and/or coordinate the use of outside legal counsel to minimize overall costs to the company.
2. Provides assistance and guidance to MRIGlobal’s management regarding potential litigation and represents MRIGlobal in litigation matters handled within the State of Missouri.
Client accountabilities specific to this position:
1. Works closely with and advises MRIGlobal senior leaders, management and other staff about legal issues and policy implications affecting the organization’s governance, legal compliance requirements, and initiatives.
2. Confers with outside parties in the areas of vendor affairs, contractor and client relations, etc. and assists in the resolution, negotiation, or development of issues, policies and/or procedures.
Internal Process accountabilities specific to this position:
1. Advises MRIGlobal representatives concerning business transactions, risk of liability, advisability of prosecuting or defending lawsuits, and legal rights and obligations.
2. Drafts, negotiates, and executes commercial contracts on behalf of MRIGlobal.
3. Implements or assists with MRIGlobal’s direction on litigation from pre-trial process and strategy through settlement negotiations and/or trials and potential appeals. May oversee and coordinate work performed by outside lawyers.
4. Prepares memorandums interpreting laws, rulings and regulations to officers, management, department directors and employees. Prepares and drafts legal documents, such as contracts and trademark or copyright applications. Prepares memorandums on legal issues.
5. Manages the organization’s intellectual property and works with outside counsel on patent prosecution, administration, and management. Drafts and negotiates technology licensing agreements and has a well-formed understanding of intellectual property management.
6. Assumes responsibility for “overhead” consulting agreements including review and risk assessment related to the determination of independent contractor status.
7. Assumes responsibility for non-disclosure agreements of which MRIGlobal or any of its employees are a party to.
8. Searches for and examines public and other legal records to write documents and memorandums. Examines legal data and factual information to determine advisability of defending or prosecuting a lawsuit. Evaluates findings and develops strategy and arguments in preparation for presentation of a case.
9. Coordinates with MRIGlobal’s Export Control Officer to assist in the implementation of MRIGlobal’s export control compliance program.
10. Studies statutes, decisions, regulations, and ordinances of quasi-judicial bodies to determine potential impact to MRIGlobal. Provides counsel to managers on legal matters and operational risk strategies impacting the manager’s area of responsibility.
11. Remains current and knowledgeable with respect to legislation, case law, and administrative rulings, as well as pending legislation and administrative regulations pertinent to the operations of MRIGlobal and determines their potential impact on MRIGlobal along with ensuring that appropriate risk management strategies are in place.
12. Briefs interested parties and develops recommendations and implementation documentation to accommodate legislative regulations, decisions, and/or administrative regulations.

Minimum Qualifications
Bachelor’s degree (B.A.) from four-year college or university. Juris Doctor degree (J.D.) from an accredited law school. Member of the Missouri State Bar. Three - Five years in a law firm or in-house legal department, or equivalent combination of education and experience.
