Job Description We are looking for an experienced corporate paralegal to join our corporate legal team and provide support on securities, governance and transactional matters. The ideal candidate is motivated, inquisitive, collaborative, organized and committed to providing outstanding service every day. A day in the life… Board of Directors Matters Assist with the preparation of the Board of Directors’ calendar and agenda, and with the preparation of materials for meetings of the Board and Board Committees. Shareholder Matters Coordinate the preparation of Nordstrom’s Proxy Statement, including preparing and circulating Director and Officer questionnaires, collaborating on proxy development, and coordinating with other key stakeholders. Assist with the preparation and execution of the Annual Meeting of Shareholders, including coordinating with the Company’s Corporate Communications and External Reporting functions and interfacing with the Company’s stock transfer agent, proxy solicitor and printer, and managing communications with shareholders’ brokers, the New York Stock Exchange and others relating to preparations for the meeting. Securities Matters Assisting the Corporate Secretary function with management of insider lists, trading window calendars, and insider trading policy guidelines. Preparing and submitting Section 16 filings with the Securities and Exchange Commission. Assisting in compliance with the listing standards of the New York Stock Exchange. Corporate Matters Assisting the Corporate Secretary function with the management of corporate governance documents, including meeting minutes, corporate policies and charters. Assisting the Tax, Treasury and Corporate Development functions with transactional matters, including subsidiary capital contributions, share repurchases, divided payments, strategic investments, credit arrangements and securities offerings. Independently overseeing Company and subsidiary management including maintaining minute books, drafting resolutions, preparing and filing state qualifications, and preparing and filing merger/dissolution documents. You own this if you have… Excellent written/oral communication skills and a collaborative outlook. Confidence in communicating directly with senior leaders of the Company. Well organized, strong attention to detail, able to identify and prioritize tasks and successfully manage multiple projects. Proactive, takes initiative, has a positive attitude, high engagement, and strong intellectual curiosity and desire to learn. Strong proficiency with Microsoft Office products and internet research. 5 years of experience as a corporate paralegal, including time spent within a law firm or in-house at a public company. Section 16 filing experience, including experience with EDGAR. Paralegal certificate or equivalent education.
