In this role, the successful candidate in the Contract Specialist will partner closely with Compliance, Finance, Supply Chain and the Legal department, he/she ensures that all contracts and purchases are executed.Job Responsibilities:Negotiates Master Services Agreements (“MSA”), Software as a service (“SaaS”), Master License Agreements (“MLA”) and Review complex statements of work (SOW)s, schedules, ordering documents:Under leadership’s direction, negotiate business and legal termsNegotiate and recommend terms for governing (i.e. master, framework) agreementsWith oversight by Manager, draft and modify licensing, service contracts terms in accordance with polices, customer specifications and legal requirements.Administers the contract management process under the direction of their supervisor:Reviews incoming contract and MSAs requests for completeness and accuracyOversees the maintenance and integrity of all contract and MSAs requestsOversee the filing of all final contracts and completes the meta (key word) data for each agreement filedWorks with finance to verify funding for proposed requestsWorks with sourcing department and have understanding of RFx processWorks with compliance unit of legal to ensure all BAAs are filed in files and also in compliance files:This includes BAAs embedded in master agreements as well as the stand alone riders. Negotiates and recommends terms for non-standard BAAsOversees the execution of signatures by vendor and internally for approved agreementsCorresponds with vendors to get signatures on approved agreements/MSAsKeeps the Intake requisition status currentInforms requester of major status changes as needed For masters or amendments that require CIO approval prepares the summary sign off package, and verifies the completeness and quality of the sign off package.Files and distributes the countersigned agreementsKeys in the data to the Contract file for each agreement; this involves pulling information from the agreement such as the start and end date and other characteristics Interact with requesters throughout the approval processNegotiate and manage amendments /changes to contractual terms with vendors as requiredReview, address, and correct as required, all bids/or contracts. The salary range for the role is $76,721.84 - $124,800.00 Annually. Actual salaries depend on a variety of factors, including experience, specialty, education, and hospital need.
