What are the responsibilities and job description for the VP of Legal position at SCH1012SHRZ?
The VP of Legal is responsible for managing legal matters and overall risk, is an advisor to executives, and instructs contract negotiations for customer and vendor agreements.
Responsibilities:
- Provide strategic counsel and guidance to internal stakeholders in connection with Company agreements and contracts, technology integrations, licensing agreements, vendor agreements, and other critical initiatives
- Manage key documents - drafting, editing, negotiating, reviewing contracts including confidentiality agreements, customer contracts, provider contracts, business associate agreements, and various vendor contracts
- Assists with development of strategies and disseminating information to Leadership Team regarding regulatory and legislative developments
- Design and implement internal guidelines and procedures related to contracts
- Facilitate accurate and timely response to legal notices, summons and requests for company information related to business operations
- Protect companywide intellectual property
- Maintain knowledge of organization’s operations and legal documents
- Proactively maintain a current understanding of issues impacting Otava as a managed cloud services provider
- Provide legal services Ad Hoc for parent company as time permits. Should the VP Legal, in coordination with Otava’s GM, commit to providing legal support then he/she will complete the engagement requirements for that project. And, the VP Legal will track time for the work performed on behalf of the parent company.
- Learn over time to undertake compliance work currently outsourced to third party law firms
- Perform other responsibilities as assigned
Experience:
- Active member of US State Bar
- Must have 7 years or more legal experience with 4 years of law firm experience
- Two or more years of experience counseling organizations that are selling and delivering managed services and technology offerings comparable to Otava’s
- Experience with drafting and negotiating services agreements, consulting agreements and/or vendor agreements for organizations
- Competency in addressing legal challenges arising from emerging technologies such as cloud computing, cognitive computing, machine learning, robotic process automation, blockchain, and/or digital mobility is a plus
Knowledge, Skills, and Abilities:
- Current knowledge of technology industry and statutes, rules, and regulations associated
- Exceptional negotiating and influencing skills
- Ability to communicate at all levels both internally and externally
- Business acumen with a solution-oriented approach
- Strong work ethic
- Effective time management and organizational skills
Education:
- Law Degree
