Paralegal - Corporate
Preti Flaherty, one of New England’s largest law firms with offices in ME, NH, MA, and Washington, D.C., is seeking an experienced Paralegal to join the firm’s dynamic and growing Corporate practice group. This hybrid position is based in our newly renovated headquarters in downtown Portland, ME, and offers an engaging roster of work on behalf of Preti’s regional and national clients.

Essential Duties and Responsibilities:
-Assist with the formation, maintenance, and dissolution of corporate entities, including drafting and filing formation documents, resolutions, and minutes.
-Maintain corporate information using our corporate database software, Emergent.
-Support corporate governance by ensuring compliance with applicable laws, regulations, and company policies.
-Conduct legal research and prepare reports on various corporate legal matters.
-Coordinate and manage corporate filings with federal, state, and local authorities, including business licenses and tax filings.
-Assist with mergers, acquisitions, corporate reorganizations, and other complex transactions, including conducting due diligence, preparing closing documents, and coordinating closings.
-Draft, review, and manage corporate documents such as contracts, board resolutions, bylaws, LLC Agreements, etc.
-Liaise with external counsel, regulatory agencies, and other third-party entities as needed.
-Support internal investigations, audits, and compliance efforts.
-Manage legal projects, including maintaining timelines and ensuring timely completion of all deliverables.
Education and Experience Required:
-Bachelor's degree or Paralegal Certificate from an ABA-approved program.
-Minimum of 3 years of experience as a paralegal in a corporate legal department or similarly sized law firm.
-Strong understanding of corporate governance, compliance, and corporate law principles.
-Proficiency with corporate filings, including familiarity with SEC and state-level compliance requirements.
-Experience with legal research tools and software (e.g., Westlaw, LexisNexis).
-Excellent written and verbal communication skills.
-High attention to detail, exceptional organizational skills, and the ability to manage multiple priorities.
-Ability to work independently and as part of a team in a fast-paced environment.
-Proficient in Microsoft Office and legal document management systems.
