Position Summary
PS&S is looking for a Paralegal to assist our Chief Risk Officer. You will assist in all corporate transactions including, but not limited to: preparing corporate documents, legal research, as well as retrieving, reviewing, and distributing documents in all matters related to corporate transactions.

Responsibilities
- Organize contract review process for timely and responsive reviews.
- Create and manage Client Master Services Agreement (MSA) contract data base.
- Assist in creating Subcontractor/Subconsultant Procurement MSA procedures & data base.
- Assist in securing, organizing, and placing fully executed Sub Agreements into project folder.
- Assist in securing compliant and current Insurance Certificates from Subs prior to performance.
- Assist in creating insurance certificate data base for insurance certificate renewals.
- Assist in compiling and confirming MWBE certifications and qualifications.
- Conduct research, investigate facts, and assist in developing legal arguments.
- Draft legal correspondence, contracts, deposition notices, motions, pleadings, document demands, and responses to interrogatories.
- Prepare and file documents with courts.
- Organize and archive documents related to completed and ongoing cases.
- Track changes in legal framework and provide timely updates on these changes.
- Summarize cases and prepare reports for Chief Risk Officer
- Assist in filing Secretary of State Annual Reports
- Assist in filing License Renewals
- Assist in filing State Registration of Corp. Entities
- Create & Maintain List detailing State Registration and License information.
- Assist in organizing and maintaining Corporate Binders
- Assist in managing state and local business entity contribution thresholds.
- Political Contribution management and tracking
- Assist Marketing with Preparation of Corporate Forms for RFP and RFQ Submissions
Qualifications
- Certification or Associate’s degree in paralegal studies.
- A minimum of five years in a paralegal role.
- Investigative mind and strong research skills.
- Experience with legal research tools, such as Westlaw or Lexis/Nexis
- Experience in preparing legal reports.
- Excellent communication and time management skills.
- Proficient in Microsoft Office (Outlook, Word, Excel, SharePoint)
