What are the responsibilities and job description for the Vice President, General Counsel and Assistant Secretary of Renewables position at Renewable Concepts?
The General Counsel works closely with the senior management of the Company and helps manage the day-to-day operations of its business. This includes ensuring that the contract obligations of the Company are reasonable, undertaken on an informed basis with management’s consent, and that risks are properly mitigated to protect the Company. The General Counsel oversees the corporate compliance and ethics programs for the Company and is responsible for ensuring that the Company operates ethically and within the limits prescribed by law. The General Counsel actively manages all claims and litigation of the Company and provides legal guidance to project managers and other employees of the Company to resolve disputes and preserve and protect the company’s rights and defenses. This position will also provide legal support for the Company’s affiliates as required.
Essential Responsibilities:Negotiate and draft complex, multi-party domestic contracts including purchase and sale agreements for equipment and services, long term maintenance and service agreements, EPC agreements, parent guarantees, letters of credit, surety bonds, teaming agreements, and other documents relating to the wind power industry. Provide post-award legal support to project management teams and senior business leaders in the areas of contract interpretation, dispute resolution, and claims management. Review bid proposals and provide exceptions. Assist Global Sourcing and logistics to negotiate commercial terms with vendors. Coordinate with senior business leaders to ensure that the Company maintains the necessary licenses to submit bids, execute contracts, and perform work.
Job Requirements / Skills, Knowledge and Abilities:Requires a strong transactional background in negotiating agreements for the wind power industry as well as extensive litigation, arbitration, and claims management experience. In addition, working knowledge of insurance, contractor registration and licensing requirements, OSHA, labor and employment law, export controls, and FCPA preferred.
- Candidates should have a minimum of 15 years of experience that includes significant experience in the wind power industry.
- It would be ideal for candidates to have an engineering or construction background.
- Preferred candidates will have both law firm and in-house experience and at least 5 years of experience at a reputable law firm.
- Preferred candidates will have significant litigation experience.
- Preferred candidates will be experienced in negotiating and drafting purchase and sale agreements for equipment and technical services, long term maintenance and service agreements, EPC agreements, parent guarantees, confidentiality agreements, letters of credit, surety bonds, teaming agreements, and other documents relating to the industry.
- A solid working knowledge of insurance, contractor registration and licensing requirements, OSHA, labor and employment law, intellectual property law, export controls, and FCPA preferred.
