Responsibilities
is seeking an experienced associate to join its Employment Practice in the New York or Boston office to work primarily on executive compensation and ERISA matters, including in connection with complex corporate transactions, such as private equity transactions, mergers and acquisitions, venture capital investments, and initial public offerings. Responsibilities will include:
- Representing both companies and executives in negotiating and drafting executive employment agreements, equity compensation arrangements, restrictive covenant agreements, rollover arrangements and go forward governance rights.
- Partnering with internal stakeholders to conduct transactional due diligence, drafting and negotiating representations, warranties and covenants in purchase agreements.
- Structuring, drafting and implementing equity compensation arrangements, Top Hat plans, severance, other deferred compensation arrangements, and performance bonus plans in compliance with tax, employment, benefits and securities laws, including Section 83 and 409A of the Tax Code.
- Advising clients on the application of the plan asset rules to fund formation and investments in compliance with Title I of ERISA.
- Advising on and complying with Section 280G of the Tax Code.
- Graduated with a JD or LLM from an ABA-accredited law school
- LLM in Tax is preferred
- Must be admitted or eligible for admission in New York or Boston
- Must have 3 years of executive compensation and ERISA experience within corporate transactions, including through the transactional due diligence process
- Title I experience preferred.
- Excellent written and oral communication skills
- Professionalism in working and engaging with clients and colleagues
- Ability to prioritize, meet deadlines and balance competing responsibilities
- Ability to stay organized and exercise extreme attention to detail
- Ability to collaborate and work effectively in team settings
The salary range for this position is $235,000 to $310,000. This position is bonus eligible.
