What are the responsibilities and job description for the General Counsel position at RJ Corman Railroad Group?
The General Counsel will oversee all legal aspects of the company and serve as a strategic partner and influential contributor to the executive team. This is a pivotal role within the organization ensuring proper legal governance while working with the CEO, CFO and Senior Leadership Team to execute to the company’s strategic and operating plans.
RESPONSIBLITIES:
- Strategic partner and influential contributor to the executive team
- Oversee all legal matters – strategic and operational – and advise the CEO, CFO, the Senior Leadership Team, Trustees and Board accordingly
- Assume ultimate responsibility for ensuring company compliance with applicable US securities laws and regulations
- Create a best-in-class legal “ecosystem” for that is positioned to provide advice and guidance on contracts, patents, and corporate compliance
- Participate in the definition and development, as needed, of corporate policies, procedures, and programs
- Provides counsel and oversight for all litigation, selecting and supervising outside counsel, judging the merits of major litigation, and approving settlements of disputes if warranted
- Advise on legal aspects of financing, including assessing and advising on current and future business structures and legal entities
- Act as a resource on the interpretation of existing or proposed laws and regulations that could impact
- Maintain a current knowledge of legal issues of importance through participation in continuing legal education and membership in appropriate bar and professional associations
PROFESSIONAL QUALIFICATIONS: 10 years of legal practice in a relevant area, having attained a senior position of responsibility in a company or law firm

- Create, review and negotiate Term Sheets and Letters of intent
- Overseeing delivery of legal services and resources to accomplish corporate goals, strategies and priorities
- Ensure that the company is in compliance with all current applicable federal, state and local regulations
- Maintaining proper corporate interactions with the relevant local, state and federal governmental bodies, legislatures and the community at large
WHAT YOU WILL BRING:
- Juris Doctorate from a top Law School
- Significant experience with M&A
- Proven experience managing data privacy
- Ability to work cohesively with outside counsel, while holding them accountable for timelines and cost
- Strong communication and organizational skills
- Close visual acuity to perform an activity such as: preparing and analyzing data; transcribing/typing; viewing a computer; extensive reading
YOU WILL...
- Work with internal business partners and outside retained counsel
- Manage general business transactions, draft and review contracts, licenses and intellectual property agreements and provide leadership in negotiations where appropriate
- Review and draft legal documentation
- Assess, establish and upgrade compliance programs and procedures related to general corporate and human resource matters
- Provide necessary corporate governance guidance and assistance
- Provide cost effective management of external legal resources
- Evaluate risk and risk mitigation alternatives (act as corporate risk manager)
- Lead corporate merger and acquisition efforts when necessary
- Assure the company and its products are fully compliant with all applicable regulatory standards and interact with various regulatory agencies as necessary and appropriate
- Manage all outside counsel (litigation, patent prosecution, international, etc.)
