How you'll make a difference:
The Corporate Counsel position is an opportunity for a junior to mid-level attorney to join a small, fast-paced and dynamic corporate legal department supporting a global medical technology company focused on spine disorders. The Corporate Counsel will work closely with other members of the Legal Department supporting all facets of the Company’s business, with a primary focus on contracts. The Corporate Counsel may also assist with public company reporting obligations, corporate governance, M&A, financings, employment matters, intellectual property, litigation, and executive compensation, as well as other duties as needed.
The Corporate Counsel must possess organizational skills and leadership potential, be able to contribute to (and, at times, lead) multi-functional teams, and have experience handling numerous, high priority tasks concurrently. The successful candidate will excel at resolving complex problems with creative solutions and minimal supervision. The ideal candidate will possess a start-up mentality, be practical, solution-oriented and business-minded, embrace new challenges, and thrive in a collaborative environment.
Your key responsibilities:
- Research, assess and provide practical counsel to corporate, regulatory, commercial, clinical, marketing, sales and HR teams on legal issues as they arise.
- Draft and negotiate a wide range of contracts, including consulting agreements, distributor agreements, development and supply agreements, private label agreements, non-disclosure agreements, material transfer agreements, collaboration agreements, license agreements, clinical study agreements, and various vendor service agreements.
- Advise the business on contract interpretation, terms, issues, risks and negotiating strategies, protecting confidential and privileged information and protecting company IP and other assets.
- Draft and manage template legal documents.
- Assist in preparing, reviewing and advising on all Company SEC filings, including related transaction documents, proxy statements, periodic reports, registration statements, Section 16 filings, and similar corporate records.
- Provide legal support for certain corporate transactions, including securities offerings and corporate financings and supporting the diligence process and integration of strategic transactions.
- Provide legal support for the Company’s data privacy compliance program.
- Advise on employment matters and best practices.
- Advise on compliance with reseller arrangements and government contracting.
- Assist in handling litigation and pre-litigation matters as they arise and interacting with outside counsel as needed.
- Provide IP support as needed.
- Develop new and review and enhance existing policies and procedures to streamline the Company’s business operations and improve customer experience (for both internal and external constituents).
- Maintains staff by recruiting, selecting, orienting, and training employees.
Who you are:
Education/Certifications:
- Juris Doctor (J.D.) from a law school accredited by the American Bar Association (ABA)
- Active member in good standing of at least one State Bar.
Experience, Skills, Knowledge and/or Abilities:
- Self-starter who will identify what needs to be done and then pursue it to completion, with minimal or no prompting
- Ability to operate independently and prioritize effectively while handling substantial and diverse work volume and serving as a key contributor for a rapidly growing organization
- Strong written, communication and interpersonal skills and the ability to connect with, and gain the respect of, stakeholders at all levels
- Team-player who will execute decisions with which he / she disagrees
PREFERRED QUALIFICATIONS
Education/Certifications:
- J.D. from a top-tier law school (preferably, graduating in top quartile)
- At least 3 years of combined private practice and in-house experience in the commercial contracting and/or corporate transactional fields, including some experience at a major law firm
- Experience in an FDA-regulated industry

The anticipated salary for this position is $160,000 to $177,000 per year, plus bonus and benefits. The final pay offered to a successful candidate will be dependent on several factors that may include but are not limited to the type and years of experience within the job, the type and years of experience within the industry, education, etc.

Salary : $160,000 - $177,000
