Description
Shutterfly is looking for a General Counsel that will serve as the lead attorney for all the Shutterfly Brands by providing legal guidance and strategies to the company’s senior leadership team. This role requires a dynamic leader with extensive legal expertise, strategic acumen, and a deep understanding of the legal landscape in which we operate. You will play a pivotal role in shaping our corporate strategy, protecting our interests, and ensuring compliance with relevant laws and regulations.
Overall responsibilities include providing guidance and counsel to the executive team on matters involving compliance, contracts, labor law, debt and equity securities, M&A, and real estate, as well as reviewing and writing internal and external legal contracts, negotiating transactions, and managing contracts to ensure legal compliance. Reporting to the CFO (who also has responsibility for Finance, Procurement, and Supply Chain) the successful candidate will possess experience in leading a corporate professional legal team and external partners to support the company’s overall business objectives quickly and efficiently.
Key Responsibilities:
- Legal Strategy and Leadership:
- Develop and implement a comprehensive legal strategy aligned with Shutterfly’s overall business objectives.
- Provide visionary leadership and guidance to the legal team, empowering them to deliver exceptional results and support to the organization.
- Collaborate with internal stakeholders in finance, strategic partnerships, human resources, operations, marketing, and others.
- Corporate Governance and Compliance:
- Oversee all corporate governance matters, ensuring compliance with applicable laws, regulations, and best practices.
- Understanding of international laws and comfortable working in multiple jurisdictions.
- Lead efforts to enhance corporate governance structures and processes to support the company's growth and sustainability.
- Risk Management and Mitigation:
- Identify, assess, and mitigate legal risks across all aspects of the business, proactively implementing strategies to protect the company's interests.
- Collaborate with other departments to develop and implement risk management protocols and procedures.
- Contract Negotiation and Management:
- Provide strategic direction and oversight for contract negotiation and management activities, ensuring alignment with business objectives and risk tolerance.
- Review and negotiate complex agreements, including vendor contracts, licensing agreements, and strategic partnerships.
- Intellectual Property and Privacy:
- Develop and implement strategies to safeguard the company's intellectual property rights, including patents, trademarks, copyrights, and trade secrets.
- Manage intellectual property portfolios and enforce rights against infringement and unauthorized use.
- Employee Relations:
- Provide legal guidance on employment-related matters including contracts, policies, and disputes.
- Litigation and Dispute Resolution:
- Direct all litigation and dispute resolution efforts, working closely with external counsel and internal stakeholders to achieve favorable outcomes.
- Develop proactive strategies to minimize litigation risk and resolve disputes efficiently and cost-effectively.
Qualifications:
- Experience with a multi-dimensional business that includes areas such as eCommerce, field sales, heavy operations, and deep marketing expertise.
- Strong understanding of corporate governance principles, regulatory compliance, and risk management strategies.
- Ability to multi-task, flexibly managing changing priorities and projects under time constraints.
- Proven leadership experience, with a record of accomplishment building and leading high-performing legal teams.
- Strong negotiation, communication, and interpersonal skills, with the ability to influence and collaborate at all levels of the organization.
- Strategic thinker with excellent problem-solving abilities and sound judgment.
- Personal tenacity with the ability to seek out opportunities and propose solutions.
- High emotional intelligence.
- Private Equity experience a plus.
- Juris Doctor (J.D.) degree from an accredited law school.
- Minimum of 15 years of progressive legal experience, with extensive experience in corporate and commercial law, preferably in the consumer industry.
