National Bankshares, Inc. is a solid and profitable community bank holding company with $1.6 billion in assets. National Bankshares is the parent company of The National Bank of Blacksburg, a 132 year-old bank with 24 full-service offices in southwest Virginia, and three loan production offices in Roanoke, Charlottesville and Staunton. This position will be located in Blacksburg, Virginia. This is an excellent opportunity for an experienced attorney to become a key member of our team.

This senior level position will:

· Serve as the general legal support to National Bankshares, Inc. and subsidiaries.

· Provide the holding company and bank with legislative and regulatory advice.

· Partner with executive management to provide strategic legal advice on banking matters.

· Coordinate legal matters handled with outside legal counsel.

· Serve as the Corporate Secretary.

· Along with the President & CEO work with Investor Relations.

· Oversee the Human Resource Department.

Specific areas of concentration include:

· Policy and procedure review.

· Guidance regarding corporate governance.

· Preparing resolutions and corporate documents for board meetings.

· Preparing timely and accurate regulatory filings, including proxy statements and related filings.

· Preparation of legal pleadings, legal documents and contract review.

· Educating bank directors and employees on legal, regulatory and industry developments.

· Answering employee questions on legal and regulatory issues.

· Participating in activities in the wider community as the President & CEO and Board may direct.

Education and Experience

· JD from an accredited law school.

· Good standing status with the Virginia State Bar.

· Five years of experience with a law firm or in-house banking experience.

· Familiarity with fiduciary law and ERISA.
