Under the supervision of the Director, Contract Administration, the Contracts Paralegal will be responsible for reviewing, managing, and lending administrative support to our attorneys for all third party contracts received by the Legal Department.
PRIMARY RESPONSIBILITIES:
- In collaboration with Nemours attorneys, this position is responsible for the timely preparation and/or review and execution of a high volume and diverse range of complex third party agreements and related schedules/exhibits including, but not limited to independent contractor agreements, educational affiliation agreements, software license agreements, lease agreements, real estate agreements, professional service agreements, non-disclosure agreements, etc. Review all contract documents, understand the terms and conditions, work with the internal clients to understand their requirements, and identify any business, legal and/or regulatory issues that are out of compliance with Nemours policies and procedures.
- Manage the workflow of incoming agreements, follow up on contracts in process, and engage with the contract owner as well as all touchpoint administrative functions (Privacy, Insurance, Finance, Corporate IS, IT, etc.) across the Nemours enterprise that may be impacted by the contract. Identify, summarize and document material terms and key dates of executed agreements.
- Effectively respond to routine requests received from internal customers: contract amendments, renewals, and terminations.
- When more complex legal questions arise, proactively consult with our attorneys to obtain input and direction.
- Ensure Nemours’ standard template terms and conditions are incorporated into all contracts, any proposed changes must receive appropriate review and approval by the respective attorney and/or contract owner, track and manage workload to meet deadlines, and support the contract archiving and reporting processes.
- Develop a collaborative working relationship with Nemours Legal team, our internal clients across the enterprise as well as our outside counsel.
- Understand the life cycle of a contract from development, evaluation, negotiation, to approval, tracking, close out and contract administration.

QUALIFICATIONS:
- Bachelor's degree or equivalent experience required
- Paralegal Certification required
- More than 5 years of experience
- Previous law firm or comparable in house corporate legal experience required in healthcare and/or hospital setting required
