ESSENTIAL DUTIES AND RESPONSIBILITIES

1. Support Legal Department or business unit in improving processes, knowledge management, information governance, records management, vendor management, and use of technology.
2. Exercise independent judgment and discretion in drafting and negotiating appropriate contractual or other commercial lending legal documents to ensure mitigation of financial and regulatory risk to the company.
3. Review and analyze formation and operating documents relating to business entities and trusts.
4. Analyze, draft and/or amend resolutions and authorizations, loan agreements, promissory notes, security agreements, mortgage instruments, guarantees, intercreditor agreements, landlord’s waivers, SNDAs, control agreements, assignments of life insurance policies and UCC financing statements.
5. Research and analyze federal and state statutes, rules and regulations relevant to commercial lending.
6. Respond to questions relating to commercial lending legal issues and related bank policies, procedures and practices raised by internal line of business representatives and other support function representatives within Truist.
7. Retrieve and review bank records in response to questions and issues raised by internal bank representatives and external clients.
8. Review and analyze title search reports, title insurance commitments and policies and UCC, lien and judgment search reports.
9. Assist attorneys with loan servicing and preliminary collection efforts including drafting strict compliance, covenant waiver, non-renewal and demand letters
10. Work with internal attorneys and ither paralegals to review, revise and update Truist’s form commercial loan documents.
11. Develop strong relationships with internal and external project stakeholders, including other Legal Department Teammates, lines of business, and other support function partners such as Compliance, Operations and Risk.
QUALIFICATIONS
Required Qualifications:

1. Bachelor’s Degree or Paralegal Certificate.
2. 5- 10 years of relevant experience in a corporate setting, law firm, or government agency.
3. Excellent research and writing skills.
4. Superior organizational skills while being able to prioritize workload to meet critical timelines.
5. Ability to communicate effectively with all levels of teammates, including senior management and executives.
6. Creative problem-solving and analytical skills with ability to identify and resolve problems in a timely manner seeking input of others as needed. Demonstrated proficiency in basic computer applications, such as Microsoft Office software products.
7. Team-oriented mentality with a demonstrated aptitude for managing or fitting into a project team.
8. Superior interpersonal and inter-team communication skills.
9. Ability to handle a heavy workload with shifting priorities and competing deadlines.
Preferred Qualifications:
1. Certified Legal Assistant designation or have passed the Paralegal Advanced Competency Examination
2. 5 years of experience with commercial lending loan documentation and closings is strongly preferred
