We are currently seeking an experienced, dynamic and collaborative professional to serve as an Assistant General Counsel within our General Counsel team.  Reporting to the Sr. Manager, Assistant General Counsel, you will primarily serve as counsel for commercial transactions, including technology licensing transactions, procurements, contract negotiation, and contract management.  You will also be expected to serve as counsel in one or more of the following general corporate legal matters: general corporate governance, litigation, intellectual property, employment and immigration, and administrative law on FCC rules and regulations.

Working in a creative and fast-paced environment, the Assistant General Counsel will:

  • Review, markup and draft procurement contracts, negotiate master service agreements and provide counsel to the USAC Procurement Department.
  • Identify and anticipate potential legal issues and proposing solutions to complex situations raising difficult legal and operational concerns.
  • Work on corporate law related matters (e.g., litigation, contracts, procurement, intellectual property, and bankruptcy).
  • Ensure compliance with all federal, state and local laws affecting USAC operations.
  • Communicate, both in writing and orally, with internal clients, the Board, and external contacts concerning employment, immigration, and other corporate and programmatic matters.
  • Provide counsel on the administration of the USF programs (e.g., Rural Health Care), including identifying and analyzing novel issues and promoting measures to ensure program integrity and program success.
  • Interact and engage with FCC staff on numerous matters, including contracts, audits, enforcement and programmatic issues.
  • Other specific duties as assigned.

 

About You:

The successful candidate will excel at operating in a diverse and fluid environment, and will be crucial for the success of the General Counsel Division.

 

  • Possess Juris Doctorate from an accredited college or university.
  • 5 to 7 years performing duties similar to those listed above.
  • Ability to exercise sound legal and business judgment.
  • Proactive approach and strong follow up skills.
  • Excellent oral and written communications skills, including the ability to prepare and deliver information concisely orally and in writing. 
  • Strong analytical and legal research skills.
  • 5 or more years of general legal experience, including contracts, corporate governance and administrative law.


Required Experience:

  • Experience with contract law, especially technology licensing.
  • Experience with procurement law.
  • Experience with contract negotiation and contract management.
  • Experience with one or more of the following general corporate legal matters: general corporate governance, litigation, intellectual property, employment and immigration, and bankruptcy.
  • Licensed to practice law in Maryland, Virginia, and/or DC.

 

Preferred Experience:

  • Experience with telecommunications law.
  • Experience with the federal Universal Service Fund Programs (i.e., Schools and Libraries, Rural Health Care, High Cost and Lifeline).
  • Experience with working with a Board of Directors.
